We are seeking an experienced Corporate Legal Specialist to join our dynamic legal team. As we continue to scale rapidly, we need a detail-oriented paralegal who can provide crucial support across our corporate legal functions. The ideal candidate will bring extensive experience in corporate governance, securities compliance, and entity management to help build and maintain efficient legal operations.
Responsibilities:
- Support corporate governance matters, including maintaining entity records, managing board materials, and assisting with regulatory filingsÂ
- Manage and maintain corporate records, minute books, and stock ledgers for parent company and subsidiariesÂ
- Assist with equity program administration, including managing cap table updates, stock issuances, and option grants
- Support fundraising activities through due diligence coordination, document management, and closing preparationsÂ
- Coordinate with cross-functional teams on special projects and improve internal processesÂ
- Assist with subsidiary management and international entity maintenanceÂ
- Partner with outside counsel as needed on various corporate matters
You may be a good fit if you have:
- Minimum of 7 years of experience in legal operations, business/operations manager, or paralegal role in a corporate legal department or similar experienceÂ
- Experience in supporting M&A transactions and financing roundsÂ
- Strong knowledge of corporate governance, SEC compliance, and entity managementÂ
- Experience managing multiple complex projects simultaneously
Strong candidates may also have:
- In-house or similar experience at a global law firmÂ
- Experience in a tech company or other fast-paced environmentÂ
- Experience supporting board meetings and maintaining corporate minutes

Role-specific policy: For this role, we expect all staff to be able to work from our San Francisco office at least 3 days a week, though we encourage you to apply even if you might need some flexibility for an interim period of time.
The expected salary range for this position is:
Annual Salary:
$170,000—$220,000 USD
Education requirements: We require at least a Bachelor's degree in a related field or equivalent experience.
Location-based hybrid policy: Currently, we expect all staff to be in one of our offices at least 25% of the time. However, some roles may require more time in our offices.
Visa sponsorship:Â We do sponsor visas! However, we aren't able to successfully sponsor visas for every role and every candidate. But if we make you an offer, we will make every reasonable effort to get you a visa, and we retain an immigration lawyer to help with this.
