Job Summary

Barings is looking for a Fund Taxation Director. This position will provide U.S. tax support in the areas of fixed income, private equity and real estate, collateralized loan obligations, and regulated investment companies. The position will work directly with the line of business, manage the oversight of external service providers, assist with the development and implementation of new products, and assist with other tax work as needed. The position will reside in our corporate headquarters in Charlotte, NC, reporting to the Global Head of Tax.

Primary Responsibilities

• We are looking for a candidate to advise on:
  • All tax aspects of investment into Barings products by a global investor base (including those sensitive to ECI, UBTI, CAI, FIRPTA)
  • Fund and new product structuring, including familiarity with domestic (DE) and international structures (particularly Cayman, Lux, Irish); closed end and open-end structures
  • Structuring private equity investments (US and ex-US; corporate and pass-through)
  • Carried interest programs, contractual carry programs including 409A, and portfolio company equity plans
  • Withholding obligations of funds and portfolio companies including structuring of blockers; familiarity with international tax treaties
  • Real estate debt and equity structuring experience
• Manage the oversight of external service providers to ensure completeness, accuracy and timeliness of deliverables.
• Support the information reporting process, including domestic, FATCA and Common Reporting Standard, and operational tax process.
• Liaise with the London tax team to support foreign compliance, foreign country investor tax reporting and research.
• Review tax provisions in legal documents including side letters, legal entity agreements, fund terms, private placement memorandums, and due diligence questionnaires
• Lead special projects, as assigned.

Qualifications

• 10+ years of relevant tax experience
• Bachelor's degree in accounting or finance; Master's degree preferred
• CPA, CFA, or CFP is required
• Proficiency with Microsoft Office applications
• Strong interpersonal and communication skills
• Strong organizational, analytical, and time management skills
• Self-motivated; able to work independently and communicate effectively across company locations and organizational lines
