Role/ Department: Assistant General Counsel, Asset Servicing Americas
The position will provide general legal support across Northern Trust's Asset Servicing business line, including advice relating to trust, custody and global fund services provided to sophisticated asset owners and asset managers and will report to the Associate General Counsel, Asset Servicing Americas. A significant portion of the Asset Servicing business involves services for ERISA-governed pension, profit sharing and welfare plans.
The key responsibilities of the role include:• Managing a portion of the legal team dedicated to supporting the Asset Servicing business.• Reviewing, analyzing and negotiating agreements with the Asset Servicing clients and their attorneys, including trust agreements, custody agreements and other contracts for services being provided to Asset Servicing clients. • Provide ongoing day to day legal support to identified business units within the Asset Servicing division • Identifying and ensuring appropriate internal escalation of key legal risk issues. • Communicating with partners, clients, outside counsel and industry peers regarding legal, compliance, risk and fiduciary issues. • Remaining current on regulatory changes and emerging legal issues that impact the Asset Servicing business. • Assisting in updating and developing new template contracts for the business, as necessary. • Act as legal advisor to various internal risk committees and other partner meetings within the Asset Servicing business.
Skills/ Qualifications:
The successful candidate will benefit from having: • Illinois licensed attorney required with at least 8-10 years relevant experience at a major law firm and/or in-house at a major corporation; financial institution experience preferred but not required.• Must have at least 5 years of experience with sophisticated transactions, global custody, ERISA fiduciary issues or fund support. An ideal candidate would have ERISA knowledge and experience advising financial institutions or other highly regulated clients in the custody or fund space. • Candidates must have demonstrated experience managing others or leading a team or complex transaction.• Excellent communication and interpersonal skills along with strong analytical abilities.• Ability to balance practical business considerations with compliance, legal, risk and regulatory considerations.• Self-motivated and able to learn quickly and set priorities and manage multiple projects and assignments within agreed upon timeframes.• Excellent attention to detail and focus on delivery of quality result with the ability to ramp-up quickly in new environments and teams.• Strong business judgment, strategic thinking, and client counseling skills.
