The Corporate and Commercial Counsel will work collaboratively within Amplify's Legal department and various business teams. Given the flat hierarchy of the Legal department, this position will afford ownership of various corporate and commercial matters with an emphasis on M&A, partnerships, licensing, and other commercial transactions arising in the operation of a growing K-12 education business. Nimbleness and good judgment will be necessary to draft and negotiate a high volume of commercial agreements.
Key Responsibilities:
  • Drafting, negotiating and reviewing a wide variety of agreements, including strategic licensing, strategic partnership, marketing, distribution, and sponsorship agreements, as well as data/intellectual property licenses, and other agreements
  • Take lead on M&A opportunities that arise, including diligence, negotiating transaction documents, working with outside counsel, and post-deal integration
  • Support business units on various commercial legal issues affecting business decisions.
  • Support corporate governance with certain matters including the drafting and revision of minutes, resolutions, and other related documents
  • Collaborate with other attorneys regarding privacy and other compliance considerations that may arise in the context of corporate and commercial transactions
  • Standardizing templates, processes, and legal guidance, where possible, to improve the efficiency of legal services provided to Amplify teams
  • Support developing contract lifecycle management and other legal operations processes and tools
  • Manage outside counsel as needed
  • Providing periodic training to business units on key legal issues.
  • Occasional travel may be required

Required Qualifications:
  • Juris Doctor (JD) degree from an ABA accredited law school
  • Admitted to practice and in good standing in New York
  • Minimum 5+ years of directly relevant experience, ideally both at a law firm and in house handling commercial contracts, including IP and technology transactions-related agreements
  • Results oriented with a willingness to take ownership of matters through the entire lifecycle
  • Excellent business judgment with a capacity to make decisions and give advice, demonstrating an understanding of the business's overarching objectives and risk tolerance
  • Ability to find creative and practical solutions and advice in negotiations, while knowing when to flag high risk issues that need to be escalated to senior management.
  • Ability to develop partnerships and to work collaboratively with individuals at all levels within organization and externally
  • Significant contract negotiation and drafting experience
  • Proven ability to manage competing priorities simultaneously

Preferred Qualifications:
  • Experience working in U.S. K-12 education, ideally for a business selling primarily to school districts
  • Familiarity with emerging technologies used in K-12 education
  • M&A experience gained either at a law firm or in-house

What we offer:
Salary is only one component of the Amplify Total Rewards package, which includes a lucrative 401(k) plan, incentive stock options, competitive health insurance and mental health options, basic life insurance, paid time off, parental leave, and access to best-in-class development programs. The gross salary range for this role is $220,000 - $250,000. This role is eligible to receive an annual discretionary bonus that rewards individual and company performance."
