Under the general supervision of the General Counsel, our Assistant General Counsel & Privacy Officer contributes to MedeAnalytics’ success by providing legal advice and counsel around healthcare technology contracting to management and other key stakeholders as needed. This includes structuring, drafting, and negotiation of technology agreements, licensing agreements and various other commercial agreements, providing ongoing legal counseling and pro-active support in the areas of intellectual property and regulatory compliance (HIPAA, the HITECH Act, the FCRA and other healthcare and privacy laws) and handling corporate record maintenance. HIPAA experience is required.

Duties and Responsibilities

  • Serve as a strategic business partner and trusted legal advisor to MedeAnalytics’ leadership team, help advance strategic business initiatives and provide day-to-day support
  • Develop, implement and maintain the organization’s privacy policies and procedures
  • Monitor and review the privacy policies and procedures to ensure they remain up to date
  • Train staff on the organization’s privacy policies and procedures
  • Address any privacy-related inquiries from employees, customers and other stakeholders
  • Manage any investigations and incidents related to privacy breaches
  • Collaborate with other departments to ensure compliance
  • Maintain records of all privacy-related activities
  • Monitor and report on the effectiveness of the privacy policies and procedures
  • Oversee the review and negotiations of contracts
  • Draft, review and negotiate various types of contracts including memoranda of understanding, software license agreements, non-disclosure agreements, vendors agreements, commercial co-venture and cause related marketing agreements, sponsorship agreements, service provider agreements, and technology agreements.
  • Develop, review and recommend updates to templates for frequently used agreements.

Education, Experience, and Required Qualifications:

  • Strong academic credentials including a J.D. degree from a top law school.
  • Membership is required in either the state bar of residence or Texas.
  • 7+ years of legal experience at a top national law firm and/or in-house position. 
  • Healthcare experience is preferred including compliance with federal, state and local laws, HIPAA and other privacy regulations such as CCPA, FCRA and GDPR are required.
  • Experience as a transactional attorney, preferably with some portion of that experience in technology and commercial transactions including drafting and negotiating software as a service agreement, license agreements, channel partnerships and other technology agreements.
  • Experience in developing and executing upon intellectual property protection strategy.
  • Experience drafting and managing privacy policies and procedures.
  • Experience with mergers and acquisitions a plus. 
  • Strong analytical and communication skills are a must, along with strong project management, drafting and negotiating experience. 
  • Attention to detail, excellent judgment and demonstrated use of discretion. 
  • Must be a self-starter and demonstrate superior professionalism and integrity, good business judgment and a strong work ethic. 
  • Must be a team player who is able to work equally as well independently and collab
  • Must be comfortable taking on a wide range of legal issues which may incorporate aspects of insurance, employment, intellectual property, privacy and immigration laws.

Compensation Information:

  • Base Salary Range: USD $150,000 - $200,000
    **Individual compensation packages are based on various factors unique to the candidate, including skill set, relevant experience, qualifications, and other job-related reasons.
