An attorney with experience in commercial lending matters, drafting loan documentation and has responsibility for advising financial institutions on a wide range of bank legal issues including: commercial loan transactions, real estate transactions, credit policies, problem loan workouts, bank regulatory matters, contract negotiations and miscellaneous bank related issues. The position reports to President.

Primary Responsibilities

The responsibilities include, but are not limited to, the following areas:
  • Provide advice and counsel on a variety of legal matters or problems involving the company with an emphasis on lending and contract matters. Contribute to the achievement of corporate sales and service goals to build customer (external and internal) relationships and enhance shareholder value, through the provision of sound legal advice and counsel to the company.
  • Provide legal counsel to senior management of the company.
  • Assist in identifying, developing, communicating and monitoring policies and procedures to conform to legal and regulatory requirements.
  • Draft, review and revise contracts, policies and other documents involving the company's legal rights and duties.
  • Negotiate commercial lending/real estate documents.
  • Assist in managing outside counsel prepared documents.
  • Assist in revisions of bank standard loan documents/templates.
  • Work with company's outside counsel to ensure proper representation of the company.
  • Monitor legislation and other legal developments affecting the company.
  • Provide support to all departments including the President of Commercial Finance
  • Research legal issues to ensure compliance in areas of expertise.
  • Confer with company officers, customers and other legal counsel on a variety of legal matters.
  • Added responsibility as designated by President.

Experience/Education/Critical Skills Required:
  • Minimum 3-6 years of experience as in-house counsel preferably with banking or other financial institution, or with a law firm practicing in the area of corporate/business law and lending.
  • Undergraduate degree necessary and Law Degree (JD) from an accredited law school in the United States.
  • Real Estate lending experience.

    Compensation/Benefits:
