Associate Counsel, Commercial Contracts & Privacy

As Associate Counsel, you will partner with the General Counsel and all teams across the company to help scale our customer and vendor contracting processes, privacy compliance program and other legal operations.

Your responsibilities:

• Review and negotiate both customer and vendor MSAs, Data Protection Addendums (DPAs), SOWs, order forms, NDAs, partnership agreements, and other commercial contracts as needed to support sales and operations teams on time sensitive matters
• Advise stakeholders on the potential impact and risks of particular contractual provisions
• Provide legal/contractual/strategic advice to the sales and operations teams as needed in a timely fashion
• In collaboration with the General Counsel, create, maintain, and update internal contract templates
• Help develop and refine the company's commercial contracting processes to optimize time to close
• Stay current on relevant laws and regulations that affect the company’s operations, including data privacy laws and regulations in domestic and applicable international jurisdictions
• Oversee the handling of data privacy-related requests from consumers and other third parties
• Assist in refining and maintaining the company's privacy compliance programs
• Assist with recording, tracking and reporting on commercial contract terms, including expiration/ renewal dates, fees, and other key contract data
• Other legal tasks as dictated by business needs

Your skills and experience:

• At least 2-3 years of experience advising technology-based businesses (preferably, SaaS businesses) on contract and/or privacy matters, either in house or at a law firm (or both)
• Experience reviewing, drafting, and negotiating commercial contracts (particularly SaaS vendor and customer contracts) in a law firm and/or in-house environment
• Familiarity with DPAs and other contracting requirements relating to data protection
• Exceptional attention to detail and clear and precise written communication skills
• Experience and comfort managing multiple projects and deadlines in a very fast-paced environment
• Ability to work independently (including on contract negotiations) with excellent business judgment
• Flexibility to adapt and grow with the company and positive, collaborative approach to problem solving
• Demonstrated understanding of intellectual property, licensing, privacy, data security and commercial laws
• Comfortable working with both Microsoft Office and G Suite programs on Mac
• Must have a law degree from an accredited law school and admission to the NY bar
