PURPOSE: The Business Development Senior Analyst/Business Development Specialist will support the development and execution of the Company's acquisition strategy and overall strategic plan. In particular, they will be responsible for working with the business to identify potential strategic targets, analyzing and valuing those potential targets, working with the acquiring business unit to identify and quantify synergies, leading the financial due diligence process and coordinating all remaining diligence activities, assisting the legal group in development of the Sales Purchase Agreement and ensuring all relevant business issues are addressed appropriately, coordinating the development of post-acquisition integration plans, and tracking post-closing results vs. the plan. In addition, the Senior Analyst/Specialist will be responsible for supporting the Company's strategic planning process including: analyzing market trends and key competitors, modeling the impact of key initiatives on the Company's financial performance, tracking progress vs. key strategic metrics and milestones, and participating in strategic business reviews. The position will entail extensive interaction with the business unit leadership and the Company's executive management, and reports to the Senior Vice President of Strategy & Business Development.
JOB DESCRIPTION (DUTIES AND RESPONSIBILITIES)
- Work with regional business unit leadership and external investment banks to identify, profile, and evaluate potential acquisition targets in terms of fit with the Company's strategy and value creation potential.
- For selected targets, develop and maintain the valuation model, including the quantification of potential synergies and estimation of incremental capital expenditures or operating expenses required to achieve identified synergies. Ability to model base case, best case and worst case business outcomes for the evaluated opportunity.
- Lead the financial due diligence process, including selecting and managing external accounting and tax advisors, revising the valuation model based on diligence findings, and identifying key issues and risks to be incorporated into the negotiation of the definitive purchase agreement or used to negotiate the valuation with the sellers.
- Working with the key functional leaders (e.g., finance, operations, HR) of the acquiring business unit, and the named integration manager, to facilitate the development of post-acquisition integration plans, including identifying key deal issues the team must address, development of the checklist of pre- and post closing activities, and supporting the transition managers as appropriate
- Conducing a "post-mortem" review of closed transactions vs. the business case used to justify the acquisition, identifying key differences vs. the plan and their relative impact on value creation, and documenting key lessons learned
- Analyzing key market trends, monitoring competitor strategies, and benchmarking the results of publicly traded competitors vs. the Company
- Working with business unit leaders and executive management to understand key strategic initiatives and model their potential impact on the Company's operating and financial performance
- Developing and monitoring key metrics and milestones to track the execution of the Company's strategic plan
- Participating in strategic business reviews and conducting relevant analyses to support management decision making
- Assume leadership role in defining, shaping, constructing and communicating the Company's Long Term Strategy.
- Assumes additional responsibilities as needed or directed in support of the Company's 2025 Strategy.
BASIC REQUIREMENTS
- A Bachelor's degree in business, finance, accounting, engineering or other technical field
- A Masters of Business Administration (or similar graduate degree) is preferred
- 3+ years of commercial or financial experience at Lincoln Electric (or other industrial manufacturing company)[for Senior Analyst level]
- 5+ years of commercial or financial experience at Lincoln Electric (or other industrial manufacturing company)[for Specialist level]
- Knowledge of Lincoln Electric products, the welding and cutting market, and key competitors, along with the ability to identify complementary market spaces for potential expansion
- An understanding of finance, accounting and shareholder value and their practical application in a corporate transaction and strategic planning environment
- Excellent analytical skills, including the ability to develop a relevant framework, conduct primary/secondary research, perform detailed quantitative analysis and present findings in a cogent and compelling manner
- Strong project management skills and experience leading cross-functional teams
- Superior communication skills and demonstrated capability to lead presentations and discussions at all levels of the organization, including executive management
- Selected candidate's Job Level and Pay Grade will be determined based upon qualifications and experience.
