About the role
Miro is looking for a practical, motivated and energetic attorney to join our team. This self-motivated individual should be comfortable working in a rapid-growth, fast paced environment and will be responsible for commercial contracts review. The ideal candidate will be self-motivated and be comfortable working in a fast-paced environment. The candidate must be able to independently draft, redline and negotiate outbound SaaS agreements as well as other related contracts, such as NDAs and DPAs. This candidate will appreciate being a critical part of the operational excellence in a fast-growing, market-defining startup.
What you'll do

• Draft, redline and negotiate outbound SaaS commercial agreements, with mid-size Enterprise customers, often Fortune 500 and in highly regulated industries (e.g. finance and healthcare) in support of Miro's Enterprise sales team. (Preferably supporting Enterprise sales -East (Eastern Time Zone).
• Independently negotiate a high volume of agreements including Non-Disclosure Agreements, outbound SaaS commercial Agreements, Data Processing Agreements, etc.
• Become a specialist in Miro's platform, security, operations and other processes to offer practical and strategic review related to contracts.
• Analyze contracts for key provisions to assist with reporting.
• Develop strong relationships and deliver quality communications to the Sales teams to operate as a business partner to close deals.
• Prepares, reviews, and submits contracts for signature, vendor forms, and other administrative tasks in support of the contracts team
• Possess a working understanding of privacy and other regulations impacting the business, including CCPA and GDPR, and the ability to translate that understanding into redlines and articulate in negotiations related to DPAs and commercial contracts discussions.
• Triage miscellaneous requests that come into legal and partner with internal stakeholders, when necessary, to respond to such requests (e.g. questionnaires, assessments, insurance inquiries, etc.)
• Handle a variety of other demands, inquiries, and projects related to our operations that arise in a rapidly growing startup.
• Proactively and reactively respond to a myriad of legal issues and customer inquiries, engaging as a cross-functional business partner.
• Help build and iterate on playbooks, form agreements, policies and legal processes.

What you'll need

• 5+ years of experience negotiating, drafting, and finalizing a variety of commercial contracts (e.g. NDAs, Consulting, Amendments) including 4+ years of experience negotiating cloud (SaaS) agreements, data privacy agreements, etc. with a solution-oriented approach.
• Ability to operate autonomously and work collaboratively as a team with internal business partners, sales teams, customers, and commercial and privacy attorneys.
• Highly motivated, with the drive to work independently, manage and prioritize deals with deadlines.
• A sense of urgency and empathy to work with colleagues to deliver effective communication and a positive experience in a fast paced, changing environment
