As a Commercial Counsel, you’ll serve as a key member of our legal team and work cross-functionally to enable the development of corporate commercial processes, as well as provide legal support on a wide variety of company-related matters.

What you’ll do:- Work closely with outside counsel and Underdog stakeholders on M&A and fundraising, including serving as internal counsel on completion of diligence.
- Draft and negotiate corporate commercial agreements, and support business partners in moving deals to completion.
- Provide strategic advice on existing and contemplated commercial agreements, and identify key risk and non-risk factors.
- Maintain contract lifecycle management and adherence to appropriate policies re signatory authority and spend approvals.
- Provide front-line counseling to human resources professionals and coordinate with outside counsel on employment issues.
- Serve as key stakeholder in building corporate privacy, anti-corruption, AML, and related policies and controls.
- Maintain corporate terms and conditions, privacy policies, and serve as legal department liaison with product and marketing teams on contest and promotion rules.
- Assist in review and processing of outside counsel invoices, outside counsel metrics and coordination, and overall operation of the legal organization.
- JD required
- Admission to at least one state bar and ability to register as in-house counsel in state of residence if not admitted to the state of residence.
- 4+ years of progressively responsible legal responsibility, ideally in commercial transactions or M&A, but open to a wide range of legal experience demonstrating breadth of experience and ability.
- Demonstrated ability to thrive as legal counsel in a fast-paced, high-growth environment, including law firm or as in-house counsel.
- Demonstrated ability to independently move projects forward and secure the support of others as needed in a cross-functional role.
- Excellent analytical, problem-solving, and communication skills.
- A background in fantasy sports or sports betting is not necessary, but the role requires willingness and enthusiasm to understand the unique needs of a highly regulated business
