Position Summary:
Capital Rx is looking for a dynamic and experienced Contracts Counsel to assume primary responsibilities for subject matter expertise and assistance with the development, negotiation, and execution of company contracts. This attorney will report to Capital Rxโs Senior Vice President of Legal, and partners with sales, finance, underwriting and client management team, and other internal stakeholders to review, and revise contracts that protect the company from risk and ensure compliance with company guidelines.

Role And Responsibilities
- Draft, review, and negotiate contracts relating to the Companyโs multiple lines of business including but not limited to Pharmacy Benefits Management (PBM) Agreements, Pharmacy Benefit Administrator (PBA) Agreements, Discount Card, licensing agreements agreements with third party providers and vendors, health plans, self-funded plans (ERISA and non-ERISA plans), and group purchasing organizations, academic and health professional consulting contracts, master services agreements, vendor and service contracts, IT and consulting agreements, confidentiality or non-disclosure agreements, as well as Amendments thereof
- Act as liaison between the internal team members and/or business units ensuring that all legal and contractual matters are addressed efficiently and promptly
- Responds to complex inquiries regarding contract interpretation, obligations and revisions
- Identify risks and issues, suggests alternatives that lead to the best business solution
- Prepares and disseminates information regarding contract status and modifications, etc.
- Lead, spearhead, and manage the contract workflow from initiation to execution
- Reviews, analyzes and track in-process and on-going agreements
- Report on the status of contracts to internal clients using established processes
- Prepare new template agreements, modify existing templates and prepare unique agreements as required
- Ensure clear and prompt communication with internal stakeholders regarding contracts
- Assist and support with other project and legal matters as needed.

Required Qualification
- JD plus 5+ years of experience in healthcare, preferably with PBM, or broker or consulting company contracting and negotiating PBM contracts
- Licensed to practice law in U.S and in good standing
- Healthcare experience highly desired
- Precise drafting and strong legal analysis skills, as well as knowledge of healthcare regulations and statutes and industry guidelines
- Able to comprehend and manage business contracts and other complex documents
- Strong organizational and planning skills and meticulous attention to detail
- Willing and eager to take lead on contracting for new areas of business independently
- Proficient with Word and have a working knowledge of Excel
- Excellent written and oral communication skills in a professional manner
- Ability to convey grace under pressure, and manage multiple client demands in timely manner, and shifting priorities
- Operate autonomously while being a team player who brings a positive attitude to the workplace in a fast-paced environment.
