The Contracts Department Manager is responsible for managing a global team of contract professionals who own the reviewing, negotiating and approval of non-standard contract terms and drafting and updating templates, soliciting input from internal stakeholders, negotiating with enterprise level customers, and collaborating with other teams on various contracting needs.  The Contracts Department Manager is also responsible for ensuring the team of contract professionals shape the deals in a way that balances business needs, business opportunity and risks with a goal to meet both Responsive’s and customers strategic objectives as well as ensure compliance with state, federal, and global contract laws and privacy laws.


Essential Functions:

People Management:

  • Perform oversight and mentorship to a global team of contract professionals as well as formal and informal knowledge sharing and training sessions to educate the team regarding contracts and obligation management.

Contracting:

  • Actively and consistently support all efforts to simplify and enhance the customer experience.
  • End to end contract management of various types of contracts including new contracts, change orders, addendums, amendments, supplements, renewals and terminations.
  • Interpret and/or create necessary legal and business terms and conditions for contracts to maximize commercial revenue opportunities.
  • Manage all sales contracting, and partnership contracting needs throughout the company and serve as a subject matter expert for all associated contract related issues.
  • Prescribe and implement appropriate sales/contract process adjustments to improve contracting efficiencies. 
  • Recommend internal policies and control improvements, including operational improvements.
  • Manage and enhance the overarching contracting strategy. 
  • Support contracts team in the negotiation of contract terms and conditions and follow up to ensure execution according to the negotiated terms. 
  • Create standardized language for new contracts based on business strategic objectives.
  • Analyze and report on specific business risks associated with contracts.


Other Duties:

  • Ensure personal and company compliance with all applicable Federal, State, and local laws and regulations; ensure compliance with company policies and procedures
  • Understand and maintain a working knowledge of all current contracts and the associated standards to assess business risk
  • Develop strong working relations with all relevant internal stakeholders
  • Work closely with the sales team members to build strong working relationships and clear understanding of the teams needs and preferences
  • Ensure concerns with internal policies or performance and process changes that impact contracting efficiency are communicated to management
  • Keep abreast of current case law and trends in contract law and privacy law in the United States and globally
  • Other duties as assigned.


Experience:

  • Bachelor’s Degree, Masters or JD preferred 
  • 5-8 years of experience at a Software/SaaS company
  • Minimum five (5) years managing a team.
  • Minimum five (5) years’ experience working with and managing contracts. 
  • Advanced understanding of contract law and privacy law

  • Contract status reporting at executive level
