Contracts Manager- Counsel

Responsibilities:

Review, draft and negotiate a variety of commercial Agreements including confidentiality agreements, consulting agreements, marketing partner agreements and insertion orders, service agreements, and SAAS Agreements.
Provide support regarding a broad range of third-party vendor and customer contracts.
Help to implement and manage contract management/legal matter management systems.
Assist with due diligence projects for transactional/M&A events.
Draft and maintain knowledge resources, develop marketing best practices, and conduct related compliance trainings.

What We're Looking For:

JD plus admission to at least one state bar (preferably Texas or New York).
5+ years of relevant work experience.
Experience with laws and rules governing technology including disclosure and consent requirements for subscription and automatic renewal programs. Experience in advertising and marketing law is a plus.
Ability to work with a variety of business stakeholders across legal, finance, sales, and client services.
Experience reviewing, drafting, and negotiating a broad range of contracts. M&A experience is preferred, but not required.
Strong attention to detail and organizational skills.
Significant project management experience.
Strong written and verbal communication skills.
Self-motivated with the ability to work independently and prioritize multiple tasks in a fast-paced environment and under time constraints and deadlines.
A high level of discretion, integrity, and confidentiality.
A team player with strong interpersonal and collaboration skills.
Working knowledge of Microsoft Word, PowerPoint, Adobe Acrobat, Outlook, and Excel.
