Summary
Provide day-to-day support to the General Counsel and the business teams on commercial processes and transactions, data privacy and information security, supply chain compliance, ESG compliance, and other legal matters. Must be able to communicate effectively and build consensus by establishing trust with key company stakeholders, both internally and externally, by providing thoughtful insight and data on a myriad of legal and business issues that the company and its clients must consider. Must be able to work independently and be extremely self-motivated and possess strong initiative, business acumen, attention to detail, and excellent people skills. Must align with the company's culture of transparency and collaboration. We are looking for a creative thinker, a person who can jump in and assist regardless if the task is complex or routine, and someone who has the ability to simultaneously balance managing risk and protecting the company with finding ways to help the company grow and fulfill its objectives. The ideal candidate will be thoughtful, have strong judgment, and exhibit business “common sense.” Must be well-organized, hands-on, self-directed, confident, and trustworthy.
TASKS AND RESPONSIBILITIES:
• Provide advice on commercial matters and processes, privacy, security and other regulatory matters, supply chain compliance, ESG compliance, and other legal matters
• Manage the review, drafting, and negotiation of commercial agreements, NDAs, DPAs, compliance letters, and other similar documents
• Manage and/or support a variety of commercial-related systems, projects, or processes such as the implementation of a new contract management system, maintaining/optimizing contract templates and work-flow systems, providing legal guidance on revised/new marketing programs, refreshing of data privacy processes, reviewing/establishing supply chain and ESG compliance programs; experience with SharePoint, Agile, and Ironclad a plus
• Provide training to business clients and provide legal support on projects such as new marketing programs, reseller offers, creation or modification of customer-facing tools or databases
• Assist with legal matters related to regulatory inquiries, strategic alliances, and mergers and acquisitions
• Willingness to tackle new subjects and take on special projects as the need arises
SKILLS|EXPERIENCE:
• 10+ years of relevant experience as a transactional paralegal and/or contracts manager
• 10+ years of progressively responsible experience in contract management and/or the practice of law/supporting attorneys
• Ability to work directly with outside counsel in a cost-effective manner
• Prefer candidates who have previous commercial legal experience, with experience supporting sales, channel, partner programs, and similar issues a plus
• Privacy, data security, and compliance experience preferred; cybersecurity and information management are a plus but not required
• An understanding of corporate transactions, M&A, data privacy, general law, and other legal processes
• Business acumen, including the ability to proactively identify legal problems and present positive, creative solutions and alternatives
• Experience resolving conflicts and establishing priorities between groups with opposing perspectives and agendas; the ability to meet the immediate needs of the company while building the basis for the achievement of the company’s longer-term goals
• A sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment
• Demonstrated excellence in written communication and interpersonal skills
• Proven skills and abilities in results achievement, goal-driven, decision-making, good judgment, problem resolution, research and writing, and litigation
• Extensive written, verbal, and interpersonal communication skills
• Possess initiative as well as analytical, organizational, and planning skills
Compensation varies based on location and work being performed. The starting pay range for a candidate selected for this position is generally within the range of $135,639 - $229,543 for annual base salary. Employees may be eligible for additional discretionary bonuses and commissions. The successful candidate’s actual pay will also be based on qualifications and experience, so the actual starting pay may be above or below this range.
