Position Overview

PerfectServe is a dynamic SaaS company serving clients seeking HIPAA compliant communication, collaboration, and scheduling tools for use in the healthcare industry seeking an attorney licensed in at least one state with between three to five years of professional experience to serve as sole in-house Corporate Attorney overseeing contracts, compliance, and general legal matters.  The Corporate Attorney will report to the CFO and their duties will compass, but not necessarily be limited to the following:


Main responsibilities

  • Serve as sole in-house counsel for a multi-national (offices in US and Canada) healthcare practitioner collaboration software as a service (SaaS) development company providing legal support and advice to executive company management and the board of directors.
  • Oversee company legal contracting, review, and negotiations and work closely with executive management (CEO, COO, CFO, etc.) to help accurately track and predict revenue and reduce contract churn.
  • Assist executive management with employment law concerns, especially with regards to hiring, employee terminations, workplace investigations, and review all workplace policies and procedures to ensure best practice and compliance with federal and state employment law compliance.
  • Review and assist in negotiating all company insurance policies and work with outside brokers to ensure best practices regarding risk management measures and insurance coverages.
  • Manage external legal counsel and handle lawsuits, subpoenas, depositions, and other matters requiring general legal attention. Applicant will be expected to review and hold final approval for all outside legal expenditures. 
  • Maintain contract and license management systems, drafting, standardization and negotiation of contract terms and conditions and advise company stakeholders as to appropriate contract scope. Collaborate with contract stakeholders and outside sales team to ensure timely delivery of contract materials.  Applicant should have some familiarity with third party CRM and CLM programs, and it would be especially useful to have familiarity with SalesForce and LinkSquares or a similar AI driven CLM.
  • Update and brief executive management on matters affecting legal, compliance, employment, and legal best practice concerns. Advise executive management as to appropriate outside training resources as warranted to aid company compliance efforts.
  • Advise company as to outside acquisitions and compliance. Assist and advise with integration processes for recently acquired companies, especially driving the integration and standardization of product contracts across all PerfectServe owned family of companies.  
  • Serve as primary HIPAA Compliance Officer and GDPR Data Protection Officer maintaining policies, procedures, and audit history as required.
  • Respond to inquiries from regulatory agencies, customers and the business community in a timely manner and review company press releases for legal compliance.
  • Develop and lead employee training in contract scope drafting, EEO best practices, HIPAA compliance responsibilities, and other matters affecting legal and compliance.
  • Maintain security of information by developing, tracking, and following internal controls.

Qualifications

  • Applicant must have good judgment, be collaborative, effective and prompt in handling unexpected matters, and adhere to the utmost standards of professional ethics. 
  • Applicant should also show general competence as regards standard corporate office tools (word processing, email, excel, PowerPoint, etc.) and be able to quickly learn new processes and systems as required. 
  • Applicant must demonstrate exceptional writing skills and be able to assist in drafting and review of executive level communications. 
  • An inquiring mind and an interest in the healthcare industry is a must.  
  • PerfectServe’s corporate offices are located in Knoxville, TN, however this position is eligible to be 100% remote.
