Requirements
We are currently seeking a highly skilled Corporate Counsel with extensive experience in lending and a strong background in various legal disciplines to join our dynamic legal team.
Responsibilities:

• Contract Negotiation and Management:
  • Draft, review, and negotiate a wide range of commercial contracts, including loan agreements, non-disclosure agreements, and commercial transactions.
  • Provide legal support for contract disputes and breach of contract cases.
  • Oversee the contract management process to ensure compliance with company policies and regulatory requirements.
• Corporate Governance:
  • Advise on corporate governance matters and ensure compliance with legal and regulatory standards.
  • Assist in the preparation and review of corporate transactional documents and disclosure statements.
• Loan Sales and Transactional Law:
  • Provide legal counsel on loan sales, including structuring, negotiation, and execution.
  • Handle various aspects of transactional law related to lending and finance.
• Broker-Dealer Compliance:
  • Ensure compliance with broker-dealer regulations and provide legal guidance on related matters.
• Regulatory Compliance:
  • Monitor and interpret regulatory changes and ensure the company's compliance with relevant laws and regulations.
  • Develop and implement policies and procedures to mitigate legal risks.
• Commercial Transactions and Agreements:
  • Provide legal advice on commercial transactions and contractual agreements.
  • Support business units in structuring, negotiating, and executing commercial deals.
• Legal Contract Review:
  • Conduct thorough legal reviews of contracts to ensure accuracy and mitigate risks.
  • Advise on contractual terms and conditions, providing strategic legal guidance.
• Corporate Transactional:
  • Participate in corporate transactional activities, including mergers and acquisitions, joint ventures, and strategic partnerships.
  • Assist in the preparation and review of transaction-related documentation.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the bar in the relevant jurisdiction.
• Minimum of 7 years of experience in corporate law with a focus on lending, contract negotiation, and management.
• Proven experience in handling commercial transactions, non-disclosure agreements, and commercial contracts.
• Strong background in corporate governance and regulatory compliance.
• Excellent analytical, negotiation, and communication skills.
• Ability to manage multiple projects and prioritize tasks effectively.
• Strong attention to detail and problem-solving abilities.
• Experience in broker-dealer compliance and transactional law is highly desirable.
