Job Description

Modivcare is looking for Corporate Counsel who will be responsible for handling corporate matters for the organization and may include both litigation and/or contract matters. In addition, this position will work with leadership to address and resolve any legal matters arising out of the organization's operation ensuring organizational operations and practices are in compliance with applicable laws and regulations at all times and recommends changes to organizational policies or procedures with the goal of minimizing risk.

  • Proactively identify, analyze, and mitigate legal organizational risks.
  • Support strategy for, manage, and provide advice to senior leadership and the business on corporate legal matters.
  • Conduct legal research, interpret law, and determine applicability of new laws.
  • Assist with quarterly reporting to Finance and Accounting teams, management, and external auditors.
  • Lead and manage the activities of outside counsel and coordinate internal efforts to meet corporate legal requirements and strategy.
  • Drive change and execute on any lessons learned and best practices.
  • Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients.
  • Assist with budgeting and forecasting for corporate legal matters.
  • Be responsible for one or both legal focus areas:
  • Litigation
  • Manage multiple litigation and claims for all divisions which will involve a wide variety of matters in multiple jurisdictions.
  • Oversee and conduct pre-litigation investigations, manage outside counsel, and work withΒ corporate and sector leadership to resolve matters.
  • Use a hands-on approach to all facets of litigation, including responding to subpoenas and discovery requests, fact-finding and analysis, reviewing, drafting and revising legal filings and other litigation-related documents, interviewing witnesses, preparing witnesses for testimony, and negotiating and drafting settlement documents.
  • Track and regularly present on litigation trends, create and execute trainings on legal issues impacting operations, and utilize key metrics to drive case resolution.
  • Interact daily with outside counsel, develop and enforce strategies and budgets for each matter that most effectively and efficiently meet the goals set for each matter.
  • Respond to demands for indemnification and other demands.
  • Develop an early case assessment for each matter, prepare and update case evaluations that discuss the facts, claims and strategy to defend and resolve each matter.
  • Coordinate and prepare responses to discovery, identify key witnesses and manage the discovery process.
  • Prepare requests for settlement authority and communicate to management regarding case strategy.
  • Exhibit a high degree of professionalism, trustworthiness and handle highly confidential information with integrity using sound judgment.
  • Be highly organized, detail oriented, proactive, efficient, and resourceful with exceptional follow-through skills.
  • Have a high level of business and commercial acumen.
  • Exhibit the ability to build strong relationships internally and externally through collaboration.
  • Exhibit the ability to prioritize and handle numerous competing demands in a high volume and fast-paced environment.
  • Demonstrate the ability to independently move projects forward by gaining support needed from stakeholders across the company and working in a cross-functional role.
  • Have excellent communication (written and verbal) and interpersonal skills
  • Exhibit the ability to operate autonomously while being a collaborative team player
  • Demonstrate the ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously
  • Be highly proficient in Microsoft Office applications (Word, Excel, PowerPoint and Visio), Adobe Acrobat and Smartsheet and Google applications (Gmail, Drive, Docs, Sheets and Notes), as well as the ability to learn and use proprietary computer systems and databases.

  • A Juris Doctorate degree from an accredited law school. Active license to practice law in the jurisdictions the organization operates.
  • Five (5) plus years of experience required of broad-based corporate or litigation law gained in an in-housel legal department or law firm.
  • Or equivalent combination of education and/or experience.

Salary: $160,000 - $170,000
