We are looking for an experienced commercial contracts attorney to provide legal support to the company's sales, product and business development teams. Our ideal candidate is one who will lead the company's commercial contracting function. The main focus of this role is to advise and assist with the negotiation, drafting, and review of commercial contracts, including software license agreements, service agreements, distribution agreements, etc. Additionally, the commercial contract counsel will provide guidance on contract-related matters to other internal departments, such as finance and product development. This role requires knowledge of software license agreements, IT-service agreements, software development and procurement contracts. It also requires the ability to advise on technical and commercial aspects of the company's SaaS offerings. This is a high-impact role that requires a highly motivated individual with a passion for contract law and technology.

What you’ll do
Draft, review, structure and negotiate commercial contracts, including software license agreements, service agreements, and other agreements related to the company's technical offerings.
Provide legal guidance and support to the sales, product and business development teams.
Identify and mitigate legal risks associated with commercial contracts.
Review and approve commercial contract templates for use by the sales, product and business development teams.
Provide training and guidance on contract-related matters to other internal departments.
Collaborate closely with the Head of Legal and other departments to ensure that contracts align with the company's overall strategy and goals.
Manage outside counsel and other legal service providers as needed.
You should have
J.D. from an accredited law school and admission to the bar of at least one state. Member in good standing of the state bar in which they reside
Minimum of 3 years of experience in contract law and negotiation (tech transactions experience or in-house experience are a plus)
Demonstrated business acumen, including the ability to see the "big picture" as well as the relationship of very detailed and specific legal and business issues.
Outstanding contract negotiation skills.
Superior interpersonal, organizational, written and oral communication skills and the ability to work independently and turn around documents promptly and accurately (with minimal oversight); excellent judgment and time management skills.
Ability to balance multiple projects simultaneously and assess and prioritize work requirements.
