Corporate Counsel

Description Summary:  Handles and advises company contract negotiations and revisions, draws up legal documents, or advises company on various legal transactions. Represents company and/or liaises with outside counsel in criminal and civil litigation and other legal proceedings.  Advises Executive Team in matters that arise in the course of business and practices broadly in many areas of law.

Essential Duties:

The duties listed below are the essential functions of this position, and they may change as the needs of the company demand. All associates are expected to do what is necessary to get the work done and to cooperate fully with their supervisor’s requests for additional or altered duties.

 

  • Advise company concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations.
  • Prepare, draft, and review legal documents, such as contracts and leases.
  • Interpret laws, rulings and regulations for businesses.
  • Confer with colleagues to advise and discuss solutions and best practices for various aspects of business management. 
  • Negotiate settlements of civil disputes in partnership with executive team.
  • May represent company in court or before government agencies either individually or as part of a team including preparation, research, investigation, evidence arguments etc.
  • Understands and advises IT on document retention and best practices for potential investigation pertinent to legal action or potential exposure.
  • Examine legal data to determine advisability of defending or prosecuting lawsuit.
  • Study Constitution, statutes, decisions, regulations, and ordinances of quasi-judicial bodies to determine ramifications for decisions, documents and potential cases.
  • May prepare legal briefs and opinions, and file appeals in state and federal courts of appeal.
  • Confer with colleagues with specialties in appropriate areas of legal issue to establish and verify bases for legal proceedings.
  • Search for and examine public and other legal records to write opinions or establish ownership.
  • Perform administrative and management functions related to the practice of law.

Education/Training/Experience:

  • Education - Completion of the Juris Doctor Degree from an accredited educational institution, prefer an undergraduate degree in Business, Accounting, Finance or IT.
  • Certification and Experience - Passed the American Bar Association exam with 8-12 years of experience practicing law, preferably in a business setting, with an emphasis on corporate contracts.
  • Communication - Regularly work with the executive team on matters that arise in the course of business and interact with customer counsel or leadership as needed to reach contract agreements and help resolve conflicts. Will also work with outside counsel when business needs indicate the need to work with specialists in a particular aspect of law or with attorneys designated by our business insurance.
  • Contracts - Knowledge of business contract best practices and the various laws and codes the impact effective design, revision and the creation of signature ready agreements in the private sector. 
  • Law and Government - Knowledge of applicable business, financial and employment laws, legal codes, court procedures, precedents, government regulations, executive orders, and agency rules.
  • English Language - Ability to write legal documents such that they are enforceable and constructed according to best legal practices and also clear and easily understood by individuals without a law degree.
  • Active Learning-  Understanding the implications of new information for both current and future problem-solving and decision-making.
  • Active Listening-  Giving full attention to what other people are saying, taking time to understand the points being made, asking questions as appropriate, and not interrupting at inappropriate times.
  • Critical Thinking-  Using logic and reasoning to identify the strengths and weaknesses of alternative solutions, conclusions or approaches to problems.

  • Management of Financial Resources-  Determining how money will be spent to get the work done, and accounting for these expenditures.
  • Time Management-  Managing one's own time and delivering work on time or ahead of schedule.
  • Effectively uses computer systems for individual productivity.

Physical Requirements:

  • Ability to sit and/or stand for extended periods.
  • Ability to perform work on a computer for extended periods.
  • Ability to work in the office regularly, or pivot to working at home should emergency situations arise.
  • Ability to travel 25% of the timerepresenting the company’s interests required.
  • Ability to attend work per assigned schedule and attend meetings with excellent attendance and punctuality.
  • Ability to bend and lift up to 25 lbs.
