What we’re looking for
A candidate who can manage the legal process for complex and frequent structured finance transactions. Beyond working on corporate matters generally, this candidate will have the opportunity to work with internal businesses and is expected to provide actionable advice and guidance to support Cross River and its affiliates. The candidate must exhibit strong judgement, market knowledge and decision-making skills in order to successfully lead projects, manage transactions and oversee outside counsel, as necessary.
Candidates must have a J.D. from a recognized U.S. law school and be licensed to practice law in good standing in one or more U.S. states. Candidates must also possess strong academic credentials, excellent communication skills, a strong commitment to client service, ability to handle multiple matters, and the ability to work independently in a fast-paced team environment.  Also, must be able and willing to think “outside the box”.
Responsibilities – what you will do:
- Provide legal advice and counsel, and legal interpretation, to management on a wide range of legal matters, including corporate governance, capital raising and strategic planning
- Work closely with the capital markets, direct lending and broker-dealer teams representing Cross River in various market participant roles, i.e., issuer, investor, seller, underwriter, lender, servicer, and originator.
- Assist in the development of capital markets legal standard operating policies, procedures and programs, including those applicable to public companies
- Taking a thoughtful approach to drafting, negotiate and review key transaction agreements and related documents with respect to credit facilities, purchases and sales of financial assets, securitizations, and complex finance transactions spanning multiple asset classes from consumer loans to commercial real estate and beyond.
- Identifying and relaying issues to senior attorneys and deal team/internal stakeholders for discussion and resolution.
- Manage, coordinate, and oversee the legal deal process from pre-closing through post-closing activities
- Stays informed of changes to law and regulations—in particular, those applicable to public companies—and advising senior attorneys and capital markets team about any impact to the business
- Provide clear and concise guidance to business units, particularly on novel and complex legal issues
- Proactively collaborate with stakeholders across the enterprise, including compliance, technology, risk, operations, and other key partners
- Support new product development and implementation
- Support other projects for the legal department as necessary
Skills and Qualifications – who you are:
Technical Skills:
- Hold a Juris Doctorate (J.D.) degree from a recognized U.S. university
- Licensed to practice law in a U.S. state (NY/NJ preferred)
- 6+ years (minimum) of legal experience, either with a recognized U.S. law firm or in-house with a financial institution, fintech company or technology company
- Strong working knowledge of complex corporate transactions, capital markets activity, general corporate law, and corporate governance
- Experience in structured finance (Asset Backed Securities preferred), warehouse lending, securitizations, and loan and participation sales Experience at a firm or in house managing transactions on behalf of issuers and underwriters
- Possesses the ability to anticipate legal issues/risk and guide accordingly, including seek creative, innovative solutions for complex business matters
- A broad based skill set, including exposure to corporate governance and public company representation is a plus
- Experience with broker dealers or related financial services practice is a plus
- Experience of working with consumer finance laws and regulations, compliance and risk management, and fintech is a plus

Salary Range: $190,000.00 - $210,000.00
