Corporate Counsel, Product and Commercial
Job Description
Evolv is seeking an innovative and enthusiastic Corporate Counsel, Product and Commercial to help the Legal Team fulfill its mission of growing the business while promoting a culture of innovation, continuous learning, and compliance.
This role will be essential in advising Evolv on a variety of interesting and complex legal matters and will have a broad range of responsibilities including providing legal guidance on product development initiatives and privacy compliance as well as handling complex negotiations with customers and product-related vendors. You will partner with our product team to develop new products and features that will delight Evolv’s customers, while managing legal risk and ensuring regulatory compliance. You will assist with managing our privacy program and negotiating complex commercial relationships that contribute to our products’ success including vendor and sales contracts.
As the fourth attorney on the legal team reporting to the Deputy General Counsel, VP your ideas and contributions will make an immediate impact.
In the first 30 days, you will:
- Begin to build relationships with the Legal, Product, Revenue, Product Marketing, and Cybersecurity Team members.
- Develop an understanding of Evolv’s products and services, including commercial contracting lifecycle, CLM tool, Product roadmap, Product functionality and data flows, data privacy policies and practices, and go-to-market strategy.
- Embrace Evolv’s mission-driven culture of making the world a safer place to live, work, learn, and play.
Within 3 months, you will:
- Have participated in Evolv’s +1 program where you will spend a day at an Evolv customer site working alongside the security teams seeing the Evolv Express system in action.
- Reviewed and provided recommendations to enhance Evolv’s privacy program, policies, and roadmap.
- Have started reviewing and negotiating DPAs with prospective customers and vendors and, as needed, other commercial contracts and vendor agreements.
By the end of the first year, you will:
- Be seen as a trusted advisor who provides practical, business-oriented legal advice and strives to find create solutions that will help the business grow while managing risk.
- Have developed a data privacy training program and successfully executed Year 1 initiatives from Evolv’s privacy program roadmap, with support from the Deputy General Counsel and external counsel.
- Have supported the readiness and release of products or features by identifying and driving resolution to legal issues related to privacy, data security, marketing, IP, and other related legal and regulatory areas.
- Have participated in special projects that challenged you and provided the opportunity to learn new areas of the law.
The Work: What type of work will you be doing? What assignments, requirements, or skills will you be performing on a regular basis?
- Leverage your deep knowledge and expertise regarding Evolv’s products and features to ensure Evolv’s commercial templates and related policies are accurately maintained and updated.
- Maintain and update forms of data protection agreements (DPAs) agreements and policies, assist the revenue and procurement teams in drafting, reviewing, and negotiating related agreements.
- Collaborate with the Deputy General Counsel, Product, Engineering, and Security teams to ensure privacy by design principles are embedded in Evolv products, services, and business arrangements.
- Monitor legal and regulatory developments that are relevant to Evolv’s Products, think ahead, see around corners, and help prepare for and minimize risks that may arise in the future.
- As needed, review and negotiate commercial agreements and technology licensing agreements.
- Depending on interest, career goals, and experience, may also assist on various other legal projects in different functions that will inevitably arise at a rapidly growing company including litigation, patent, IP, compliance, and strategic transactions.
- Drive awareness on data privacy and security issues, including development of training, policies, and guidelines that help business stakeholders spot and address data security and privacy issues as they emerge and as Evolv expands into new geographies.
- Work with cross-functional teams to build scalable processes to provide products that Evolv’s customers can trust.

You will be joining Legal team and reporting directly to the Deputy General Counsel and will also work closely with the General Counsel. The team culture is one based on building trust, collaboration, on-going development through kindness, authenticity, courage, drive, and fun!
Where is the role located?
While the preference is for this role to be hybrid and based out of HQ in Waltham, MA, Evolv will consider fully remote for the right US-based candidate.
Qualifications and preferred experiences:
The successful candidate must have a J.D. degree with admission to, and in good standing with, at least one state bar. While we prefer someone with approximately 5-10 years of in-house legal experience, we welcome all candidates who believe they will be successful in this role.
