Corporate Counsel (Remote)

Guild Education is hiring a Corporate Counsel who will be responsible for all commercial contracting and related imperatives. We are looking for an individual who thrives in an environment driven by mission, agility, and high growth, who can partner with and support our prospect and client facing teams in navigating complex legal and regulatory issues. The Corporate Counsel will partner closely with all business teams at Guild (including sales, account management, solutions design, engineering and product development, accounting and finance, and more). Our ideal candidate is driven by collaboration, problem-solving, and practicality in partnership with all levels and functions at Guild; and brings deep expertise and experience in complex commercial contracting from either a firm or in-house environment.

As Corporate Counsel, you will:

• Draft and negotiate complex legal agreements with sophisticated parties, including a variety of technology, SaaS, and product vendors; large, sophisticated employers; and academic partners, universities, colleges, EdTech platforms, and other learning providers.
• Support other corporate counsel and senior lawyers in our Department with contracting efforts, process improvements, and research projects.
• Help define, manage, and improve our commercial contracting processes, including crafting deal desk parameters, legal terms playbooks and policies, standard form agreements and documents, and risk-management policies.
• Collaborate with contract managers to complete NDAs, contract addenda, SLAs, etc.
• Coordinate contract terms reviews with Information Security and Data/Privacy teams.
• Help our Marketing teams review marketing, brand usage, publicity, and other agreements.
• Collect, collate, analyze, and provide insights to the Legal Department and leaders across our Company based on data from our contracts.
• Help our LegalOps teams identify opportunities for process improvements, select tools for doing so, and assisting with the launch and adoption of new tools.
• Foster strong working relationships with internal business clients, as well as external customers, partners, and other third parties and their counsel.
• Assist in the development and provision of legal training programs on the contracting and legal processes and standards, company policies, regulatory landscape, and other legal topics.

Required Competencies:

• 2+ years of experience in complex, strategic commercial negotiations and contracting.
• Experience structuring, drafting, negotiating, and interpreting complex commercial and technology contracts.
• Working knowledge of commercial contracting considerations and regulatory landscape relating to technology, SaaS/software, data privacy, and intellectual property.
• J.D. degree from an accredited law school.
• Learner’s mindset and a commitment to continuous improvement through feedback, research and data.
• License to practice law in Colorado or another state (subject to approval by Legal Dept.).
• A demonstrated ability to simultaneously manage and meet deadlines for numerous negotiations and projects consistent with the Company’s business objectives and requirements.
• A collaborative, client-focused approach and ability to develop strong relationships with internal and external clients.
• Demonstrated experience in analyzing and synthesizing complex matters concisely and clearly convey advice into easy-to-understand written communications for a wide range of colleagues across the Company.
• Relentless optimism and good cheer.

Preferred Proficiencies:

• Experience partnering with Fortune 500 companies and/or large educational institutions and learning providers or other regulated entities; and
• Combination of law firm, government, and/or in-house legal experience.

We feel passionately about equal pay for equal work, and transparency in compensation is one vehicle to achieve that. Total compensation for this role is market competitive, including a base salary range of $160,00-$190,000 as well as company stock options.
