Job Description
Job Summary
This position is responsible for assisting with corporate governance and secretarial matters, board meeting material preparation and minutes, assisting with SEC filings, managing NAIC governance filings, maintenance of corporate records, legal research, company licensing and reporting, as well as other routine legal and administrative matters.
Duties and Responsibilities
Corporate Governance Support
- Provide corporate governance support to the General Counsel by analyzing requests and proposed responses
- Support General Counsel with organizing, filing and maintenance of corporate records
- Maintain database of annual report filings, registration and licensing matters
- Assist with organization and preparation of board and committee meeting materials
- Manage relationships with outsourced legal vendors
- Assist with preparation of quarterly director retainer payments
- Respond to internal and external audit testing and financial close requests
- Oversee corporate policy database maintenance and dissemination
- Monitor internal compliance reporting system
- Coordinate with HR and Finance regarding stock ownership records
- Assist with legal mail and legal invoice traffic; coordinate payment of invoices with Finance
Special Projects
- Manage, complete, and provide assistance to the General Counsel or Deputy General Counsel on special departmental legal projects as needed.
Experience and Education Requirements
- Bachelor’s degree in business, English or related field required.
- 3+ years legal-related experience, life and annuity insurance related experience preferred, preferably in a legal support role.
- Experience or knowledge of public company corporate secretarial duties.
Knowledge, Skills & Abilities
- Good organizational, administrative, and research skills, with aptitude for detailed work.
- Excellent verbal and written communication skills.
- Good interpersonal skills necessary to maintain effective working relationships with senior management, executives, boards of directors, other employees, outside attorneys, agents, state insurance department personnel, etc.
- Ability to perform in a fast-paced environment while addressing multiple projects and responsibilities.
- Knowledge of Word and Excel required.
