Corporate Legal Counsel
Job Description
SUMMARY
Fusion Worldwide is seeking a Corporate Legal Counsel to play a pivotal role in guiding Fusion through legal landscapes, ensuring compliance, and mitigating risks. This individual will be responsible for overseeing all legal aspects of Fusion’s global operations. This role involves providing strategic legal advice, managing contracts, handling compliance matters, and supporting various departments with legal guidance, including export compliance, HR and more. The ideal candidate will possess a comprehensive understanding of commercial law, contract negotiation, and risk assessment within the electronics distribution industry.
RESPONSIBILITIES
Legal Advisory:
- Provide legal guidance and review of contracts and business transactions across all departments, as well as play a legal advisory role to senior management when required.
- Offer counsel on intellectual property matters, employment law, corporate governance, and dispute resolution.
- Work closely with external legal counsel when required, managing and overseeing their contributions effectively.
Contract Management
- Draft, review, and negotiate various contracts, including vendor agreements, distribution contracts, and customer agreements.
- Advise on contractual rights and obligations to protect the company's interests.
- Manage contract databases and ensure all contracts are up-to-date and in compliance with legal requirements.
Risk Mitigation
- Identify legal risks and propose strategies to mitigate them.
- Assess potential risks associated with business decisions and provide proactive guidance to minimize legal exposure.
- Collaborate with relevant stakeholders to develop risk management strategies and policies.
Policy Development
- Assist in the development and implementation of company policies and procedures in line with legal requirements.
- Review and update internal policies to ensure compliance with evolving legal standards and industry best practices.
Export Compliance
- Provide legal counsel to internal departments on matters related to export compliance, including product classification, licensing, and regulatory requirement as well as around customer and transaction due diligence.
- Advise export compliance teams on proper export controls within the program.
- Act as advisor on development and improvement of the Fusion automated export compliance system.
- Stay abreast of changes in export laws, regulations, denied parties, and communicate updates defining how the changes will impact internal operations and actions needed to comply to relevant stakeholders within the organization.
Areas for growth include additional legal skills and areas of concentration and career path working towards more senior legal role in the company.
REQUIREMENTS
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in the relevant jurisdiction.
- Minimum 7-10 years of experience as legal counsel, with a focus on export compliance.
- Fusion Worldwide in a global company and any international experience is helpful.
- Electronic components industry experience preferred.
- Strong analytical and problem-solving skills, with the ability to provide practical legal advice in a business context.
- Excellent communication and interpersonal skills.
- Detail-oriented and capable of managing multiple priorities in a fast-paced environment.
- Nice to have: knowledge of export laws and regulations, including ITAR, EAR, and other relevant statutes, experience interfacing with governmental agencies, such as BIS, experience in advising due diligence strategies.
