Corporate Paralegal

Atlas Sand is in search of a Corporate Paralegal reporting to the General Counsel.  The successful candidate will bring familiarity with the areas of corporate and securities law, commercial contracts, oil & gas, construction and strategic transactions. This position will have direct involvement with senior business leaders throughout the company. The successful candidate will have the opportunity to be an important team member across corporate functions.

This is an In Person role at out Corporate Headquarters in Austin TX

Responsibilities:

  • Assist with general corporate and securities functions as well as strategic transactions
  • Assist with the review of commercial contracts
  • Assist with the review and management non-disclosure agreements
  • Assist in the management of the corporate governance and structure of subsidiaries
  • Manage state regulatory filings for business and tax purposes.
  • Assist with corporate ethics and compliance function
  • Respond to questions from employees and stakeholders regarding issues for which the legal group is responsible.
  • Understand and analyze legal and business risk issues within the context of a private company practice and communicate complex legal issues.
  • Assist the General Counsel in monitoring the performance and effectiveness of our Company policies, disclosure controls and debt covenant compliance.
  • Effectively handle multiple tasks and projects while maintaining the highest standards and exceptional attention to detail.

 

Qualifications:

  • Bachelor’s Degree and a minimum of 3 years (recent) of legal experience in corporate and transactions practice
  • Paralegal Certificate is highly preferred
  • Excellent academic credentials
  • First tier law firm and in-house experience preferred
  • High personal standards of excellence and capacity to learn rapidly
  • Experience with SEC filings including Section 16 preferred
  • Familiarity with Oil & Gas transactions and issues highly desirable
  • Familiarity with logistics and construction highly desirable
  • Strong communication and interpersonal skills
  • Excellent research, analytical and decision-making skills
  • Trustworthy and capable of handling sensitive information in the strictest of confidence
  • A demonstrated ability to effectively influence and motivate others along with strong team, business and project management skills
  • Proficiency with Microsoft Office programs, EDGAR, online records management tools and online research tools
  • Ability to work well under pressure and to meet deadlines
  • Flexibility to regularly work overtime when projects demand with limited notice
  • Adaptability to work with different personalities and changing priorities
