As a Corporate Paralegal, you will:
- Support senior corporate counsel and accounting teams in preparations of SEC filings. Â
- Be responsible for maintaining our corporate minute book, preparing routine board and committee resolutions, collecting and tracking approvals and signatures, and related record keeping.Â
- Work with senior corporate counsel to manage the legal side of equity, including Section 16 filings, beneficial ownership tracking, preclearance, 10b5-1 plans, etc.Â
- Work with our equity accounting team in responding to routine legal questions regarding equity matters
- Be primarily responsible for domestic and international entity corporate governance tracking and compliance (e.g. annual report filings, annual corporate resolutions, etc.) across all of our corporate entities
- Provide support for documents and activities related to corporate structuring activities, such as mergers & acquisitions, formations, and dissolutions
You'll be a great addition to the team if you have:
- The ideal candidate will have a minimum of 5 years of direct experience as a Corporate Paralegal, including experience working as a Corporate Paralegal at a law firm working with publicly-listed companies and/or experience working as a Corporate Paralegal for a publicly-listed company
- In-depth Section 16 and '34 Act experience is required
- B.A. or B.S. degree required
- Able to work independently with minimal supervision while exercising initiative, flexibility, and good judgment with a desire to identify needs, improve and streamline processes
- Willingness to do hands on work, ability to handle uncertainty and ability to help further define the function as it relates to a changing environment
- Exceptional organizational and planning skills, with meticulous attention to detail
- Excellent oral and written communication skills enabling production of quality results
- A proactive, collaborative and flexible mindset is essential
- A sense of humor!
