Job Description
The corporate Counsel position provides legal support to the company's corporate governance, corporate compliance, procurement, and risk management functions. The corporate Counsel advises departments and business leaders on contract and transactional aspects of the business to contribute to its financial and operational success. The corporate Counsel shall also provide legal support to the company's ancillary lines of business, specifically related to affiliates or under services agreements.
Essential Duties and Responsibilities:
- Procurement Responsibilities:
- Drafts, reviews, and negotiates a variety of vendor contracts and other contracting documents (MSAs, SaaS agreements, consulting agreements, lease agreements, Scopes of Work).
- Drafts, reviews, and negotiates non-disclosure agreements.
- Collaborates as needed regarding vendor contract negotiations.
- Corporate Governance Responsibilities:
- Works closely with the Assistant General Counsel in the following areas:

- Communications between the Chief Legal Officer, the Board of Directors, and the Company.
- Drafts board meeting minutes and creates board meeting books.
- Drafts board action documents such as consents and resolutions.
- Maintains and updates Board-related document files and records.
- Collaborates with outside counsel regarding corporate governance-related documents.
- Maintains all entities in good standing in qualified jurisdictions.

- Corporate Compliance Responsibilities:

- Assists with the drafting, review, and submission of annual, quarterly, and subject matter-based regulatory filings and coordinates the submission of these filings with outside counsel, as needed.
- Provides requested corporate governance and compliance-related documents to both internal and external auditors.
- Drafts and provides documentation for KYC and AML-related disclosure and compliance requirements.
- Provides colleagues with advice and resources regarding general legal and corporate governance-related inquiries.
- Reviews and negotiates engagement letters for auditors and outside counsel.
- Collaborates with legal and compliance colleagues as well as outside counsel in responding to routine examination-related requests from regulators.
- Risk Management Program:
- Coordinates with the Assistant General Counsel on compiling, drafting, and submission of responsive materials and review of proposals for corporate risk management coverages.
- Additional Responsibilities:
- Supports ancillary lines of business in all areas of general corporate, compliance, and regulatory matters.
- Supports the Regulatory Compliance team and/or other departments on an as-needed basis.
- Willingly takes on additional responsibilities as requested in order to accomplish department and Company objectives.
- Actively participates and contributes to the goals and objectives of the Company by working collaboratively and fostering a positive and inclusive work environment.
Skills and Abilities:
- Knowledge and experience in interpreting contracting-related legal terms.
- Strong written and verbal communication skills, including verbal and non-verbal negotiation skills.
- Strong organizational skills and attention to detail.
- Strong decision-making skills.
- Ability to conduct legal and non-legal research and subsequently analyze and summarize findings in a manner that is concise and clear to business partners from various departments.
- Ability to multi-task and meet time-sensitive deadlines without sacrificing work product.
- Intermediate working knowledge of Microsoft Office, including Word, Excel, and PowerPoint.
Training or Work Experience:
- Minimum 3 years of general corporate or transactional legal experience required.
- Minimum 1 year of experience in the insurance or financial services industry preferred, can be achieved through law firm work with related clients preferred.
Education:
- Juris Doctor required.
Working Conditions:
- Chicago, IL, West Des Moines, IA, or Atlanta, GA.
- Occasional travel (5 - 10% of the time).
