Kairos Power is a new nuclear energy technology and engineering company whose mission is to enable the world’s transition to clean energy, with the ultimate goal to dramatically improve people’s quality of life while protecting the environment. This goal will be accomplished through the commercialization of the fluoride-salt-cooled, high-temperature reactor (FHR) that can be deployed with robust safety, affordable costs, and flexible operation to accommodate the expansion of variable renewables.
Job Summary
Kairos Power is seeking a talented attorney to join as Counsel. This role will work directly with executives and associates at all levels of the business, participating in leadership meetings and supporting multiple functions, including Business Development, Regulatory, Compliance, Human Resources, Intellectual Property, etc. The Counsel will handle a range of legal issues and oversee the work that's been outsourced to attorneys at independent firms.
Responsibilities
- Partners and coordinates with leadership on applicable legal and regulatory matters across the business including commercial contracts, employment matters, intellectual property, corporate governance, etc., for the company’s domestic and international operations
- Identify & manage a wide range of external counsel and consultants
- Structure, write and negotiate a broad range of agreements, including complex agreements for strategic transactions
- Support contract negotiations with strategic partners on complex commercial and technology matters
- Assist in developing legal strategy (specifically intellectual property and regulatory strategy) aligned with business priorities
- Advise and provide practical, solution-oriented approaches to leadership on a broad range of legal issues and risks throughout the business and relationships with third parties, and advise on appropriate risk mitigation
- Review and update as needed all legal templates and advise on specific contracting terms and conditions i.e. Non-disclosure Agreements, Vendor Contracts, Memorandums of Understanding.
- Manage company’s existing contracts and ensure consistency of new contracts with existing sets of agreements and company commitments and policies.
- Coordinate professionally with HR, Senior Executive Team and outside Counsel pertinent to enforce company’s procedures and policies.
- Partner with outside counsel and other professionals on finance, IP, regulatory and compliance matters
- Manage and coordinate legal advisory services and identify activities that can be brought in-house
- Promote legal, compliance, and risk management best practices throughout the company.
- Stay up to date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect your business and specific industry.
- Review external communications, proposals, and public messaging to minimize risk
- Review and advise on all contracts and agreements prior to CEO signature.
- Support Business Development team in the development of Cooperative Development Agreements for future utility customers
- Develop, implement, and review applicable policies and procedures to ensure they are current with applicable laws and federal regulations.
Qualifications
- Licensed to practice law, preferably in California (member of the bar or Registered In-House Counsel)
- 10+ years of experience practicing law either at a top-tier law firm and/or in-house experience at a startup
- Practical knowledge in a wide range of legal areas, including, intellectual property, employment, commercial transactions, regulatory, compliance, etc.
- Deep understanding of deal structures and Intellectual Property licensing models
- Self-starter and ability to work with highly collaborative teams, with proven ability to multi-task and set priorities
- Ability to work under pressure, manage multiple projects with competing priorities, meet deadlines, and adapt to change within a rapidly growing company
- Ability to work with highly collaborative teamÂ

- Prioritizes and ensures safety of one self and others

The salary range for this position is $240,800-$321,000 for employees working onsite at our Alameda, CA headquarters or $226,300-$301,800 for remote employees working in California. The range provided in this job posting represents the typical range or starting rate of candidates hired in California. Factors that may be used to determine your actual salary may include your education, experience, knowledge, skills, abilities, the market data for your work location, and a comparison to other employees already in the role.
