POSITION SUMMARY

Akoustis has an opportunity for an entrepreneurial counsel with experience supporting a technology product business. This is a "generalist" position reporting to the company's General Counsel.

DUTIES AND RESPONSIBILITES

• The successful candidate will assume first-line responsibility and/or ownership of a wide range of legal and compliance functions consistent with the candidate's past experience and with working in a small legal department in a growing global public technology company.
• As a member of a small legal department, the successful candidate will be assigned ongoing duties and one-off projects from time to time depending on the candidate's background and career growth interests.
• Representative tasks include:
  1. Drafting and negotiating commercial contracts (both customer and supplier); overseeing our contract management database.
  2. Helping manage Akoustis' compliance programs, including working with our outside trade compliance vendor;
  3. Reviewing marketing materials including reviewing and maintaining claims backup;
  4. Supporting the company's HR team with labor matters;
  5. Assisting outside counsel and the general counsel with SEC filings and approvals required by the company's equity compensation programs and securities compliance processes (e.g., transaction pre-clearances, Form 4 filings).
  6. Assisting the General Counsel with corporate governance matters.
  7. Assisting with corporate transactions, including mergers and acquisitions.
  8. Overseeing corporate entity maintenance, including foreign entities with the assistance of outside counsel.
  9. Helping support litigation matters, including the resolution of commercial and labor disputes.

KNOWLEDGE, SKILLS AND ABILITIES

• J.D. at a law school accredited by the ABA with a good academic record is required.
• Admission to at least one state bar is required.
• At least five to ten years of relevant past experience as counsel is strongly preferred, preferably a mix of experience at a law firm and several years in-house supporting a technology business. Experience in a hardware manufacturing industry is a strong plus.
• Substantial experience negotiating commercial contracts, especially customer contracts, is strongly preferred. Substantial experience negotiating government contracts is a strong plus.
• Familiarity with intellectual property issues in a technology business is a plus. (The Akoustis legal team includes a dedicated IP counsel to provide support.)
• Experience in one or more of the following areas will be regarded as a plus: compliance (import/export, FCPA, ITAR), mergers and acquisitions, labor and employment, marketing compliance, litigation management, securities law, and corporate governance. Note that candidates are not expected to have deep experience in all areas listed, but should possess an eagerness to learn and solve problems in new areas.
• Eligibility to have access to items and technical data that will be controlled or potentially controlled under U.S. export laws and regulations, including ITAR, is required.
• Team player, flexible self-starter, and proactive problem solver who can work independently and timely seek assistance when needed.
• Interest in developing or enhancing company policies and processes.
• Good verbal and written communication skills, work ethic, interpersonal skills and professionalism
• Strong office productivity skills (e.g., Microsoft Office Suite, Teams, Zoom, e-mail, and internet) required; experience with SharePoint a plus

Title and compensation will be commensurate with the skills and experience of the successful candidate. An incentive-based compensation package will consist of salary, target bonus and an equity grant.
