Chevron U.S.A. Inc. is accepting online applications for two open positions of Counsel/Senior Counsel in our Chevron New Energies Law Team located in Houston, Texas, through September 19, 2023 at 11:59 pm (Central Standard Time).
The Chevron New Energies Law Team supports Chevron's lower carbon, higher returns and innovation ambitions working with clients in Chevron New Energies (CNE) and Chevron Technology Ventures (CTV). The CNE Law Team supports CNE direct business lines (Hydrogen; Carbon Capture, Utilization, and Storage (CCUS); Offsets & Emerging) and CTV innovation technology investment strategies. We provide a full range of advice, counseling, contracting, regulatory, advocacy, policy, risk mitigation, and contracting support for all aspects of CNE and CTV business, including investments, ventures, pilots, projects, operations, and hubs to be developed around the globe.
Our team also partners with other business clients and law team colleagues across Chevron's enterprise to support renewable fuels and other energy transition-related work. These positions will report to Kristie Tice, Supervising Counsel, or Stacey Saunders, Vice President and General Counsel, Chevron New Energies.
Position Details/Responsibilities:
- Act as an integrated legal partner to one or more of the CNE business lines: Hydrogen, CCUS, and Offsets, & Emerging (emphasis on geothermal and other emerging new businesses).
- Provide legal advice and counsel on a broad range of global legal, regulatory, and transactional matters impacting CNE.
- Draft, review, negotiate, and advise on full range of transactions and business activities, including strategy development, early origination, business development, deal structuring, due diligence, commercial agreements, strategic alliances and collaborations, joint ventures, acquisitions, operations, land acquisition, post-closing integration, supply chain, technology, project development, transport, products, and marketing.
- Work closely with Corporate Affairs and business clients on energy transition and new energies- related policy, regulatory and legislative advocacy strategy, communications, and community affairs, across a full range of U.S. and global external stakeholders.
- Offer general corporate and legal advice on compliance requirements, risk exposures and mitigations in areas such as antitrust, bankruptcy, corporate governance, employment, health, environment and safety, information technology and management, procurement, and public policy.
- Partner with various subject matter experts and internal Chevron law groups (e.g., tax, finance, compliance, intellectual property, environmental and safety, enterprise corporate affairs and strategy, international project management, business units, major transactions, and litigation), as appropriate.
- Effectively partner with / manage outside counsel (including selection, budget, and costs).
- Travel as needed.
Required Qualifications:
- Bachelor's degree and Juris Doctorate in Law from an accredited U.S. law school.
- Active membership in the State Bar of Texas, or actively admitted in another U.S. jurisdiction.
- Minimum of 7 years' significant experience in full service legal support for transactions, operations, project development, policy, and regulatory legal support, preferably for energy-related businesses.
- Demonstrated excellent written and oral business-focused communication, teaming skills, and positive attitude.
- Excel at coordinating and collaborating with business clients and other in-house lawyers and law professionals of all levels, as well as outside counsel.
- Highly adept commercial and creative thinker and quick learner.
- Self-starter who excels at productivity, problem solving, and navigating between big picture strategy and details.
- Ability to adapt to change quickly, and thrive, in a fast-paced, team-oriented environment with a diverse, high-volume workload across time zones and under deadline pressures.
Preferred Qualifications:
- Experience in CCUS, Hydrogen, Carbon Offsets, Renewable or Emerging power or technologies (including Geothermal), new ventures (including forming, integrating, and managing operated and non-operated businesses, projects, strategic alliances, and new entries), land, supply chain, and commercial transactions and matters. Significant experience providing direct-client counseling on complex transaction, project, operations, policy, corporate disclosure and reporting, and regulatory matters to business clients at all levels, including executive leadership.
- Specific experience with carbon offset project development, emissions reduction purchase agreements (ERPAs), carbon registries, and offsets-related policy and regulatory issues
- Specific experience with hydrogen project development, including commercial agreements, and policy, regulatory, and permitting issues.
- Bonus if candidate has experience with venture capital, fund, and other investments (including stock purchase agreements, investors' rights agreements, and other shareholder agreements), innovation ecosystems and consortiums, and technology trials.
- Proven ability to provide practical, solutions-oriented advice to enable risk-appropriate mitigations and decisions.
- Demonstrated ability to work effectively internally within and across a wide variety of teams, stakeholders and partners, and externally with outside counsel, joint venture, government and other stakeholders.
- 10 years' significant experience in full service legal support for transactions, operations, project development, policy, and regulatory legal support, preferably for energy-related businesses
Relocation Option:
Relocation will be considered within Chevron parameters.

Expatriate assignments will not be considered.
