Your role
The Baxter Integration Management Office is part of the Global Business Development & Licensing team, and is accountable for developing and maintaining a consistent, efficient, and comprehensive integration and separation management approach.
The Director of Integration & Separation Management is responsible for developing and maintaining a consistent, efficient, and comprehensive due-diligence, integration, and divestiture approach to support Baxter's Portfolio Management strategy. The main objective of this role is to facilitate the realization of the value of Baxter acquisitions, divestitures and other M&A ventures through developing effective structures, robust processes, and comprehensive toolsets, and facilitating the consistent use of these by Baxter partners.
On Integrations, the Director will be working closely with the Baxter Integration Management Office (IMO) to lead integration strategy & planning and post-merger integration execution efforts for large & complex transactions including global acquisitions for current Baxter Business Segments and Growth and Emerging Markets.
On Divestitures, the Director will be working closely with Baxter Separation Management Office (SMO) and deal sponsors, with day-to-day responsibilities across all phases of the deal, from pre-deal diligence to post-close separation and transition services' (TSA) exit. In pre-deal diligence, the Director will support the SMO with reverse diligence activities, drafting of TSA schedules, leading separation planning, Day 1 readiness and deal cutover. In post-close phase, the Director's responsibilities will include the setup of a TSA governance and leading TSA exit activities, TSA financials, and monitoring key execution and operating metrics.
The Director will also be responsible for leading the post-deal business reviews with the relevant business owners, reviewing performance, and working with the business owners to improve execution on future transactions.
This role will report to VP, Global Integrations and will partner with business and functional leaders across the organization to implement separation/ integration plans and deliver achievements across multiple cross-functional workstreams.
What you'll be doing
- Lead day-to-day Integration/ Separation planning and execution efforts from pre-close to post-close.
- Oversee the development of detailed separation and integration plans, deal timeline and roadmap
- Identify and engage Baxter cross-functional collaborators to define deal workstreams and integration / separation charters for each of them
- Lead the planning and program management aspects of execution with operationalizing complex Legal Entity transactions (rationalization, optimization, separation etc.) working very closely with Tax, Treasury, Legal, Accounting, and other cross-functional teams
- Develop TSA schedules, costing methodology, governance, billing mechanism and exit planning
- Facilitate critical integration/ separation workshops with cross-functional collaborators (e.g., kick-off, Day 1 readiness / cutover and process-flow workshops)
- Drive day-to-day execution of the deal process, including coaching cross-functional teams, leading weekly team meetings and driving proactive issue resolution
- Lead deal governance process to ensure speed, consistency, and control over transactions
- Identify and work closely with external deal advisors (e.g., bankers, external counsel, financial diligence teams and consultants)
- Track and report to Baxter deal sponsors key metrics aligned with transaction value drivers and synergy plan
- Develop, deploy and use a toolkit to identify and monitor action items and coordinate issues and dependencies all along the transaction lifecycle
- Increase awareness and provide training for stakeholders to transactions, including BD, diligence teams and functional leads, business Leaders and business owners/managers
- Conduct post-mortems on deal and integration / separation execution
- Drive the development of deal planning and execution standard methodologies
- Serve as a SME representing Baxter's M&A Integration/ Separation Center of Excellence in developing, espousing the philosophies, processes and results of the team and the organization both inside and outside of Company's walls
What you'll bring
- Masters' Degree in Business Administration (MBA) preferred
- Proven experience in M&A separation and integration, business operations and/or program management. Similar experience in a global medical device industry is preferred
- Proven ability to manage cross-functional teams and drive efficient process management; ability to manage up and gain consensus with Baxter VP and C-suite level executives involved on a deal
- Solid critical thinking, analytical and problem-solving skills, including the ability to use quantitative and qualitative data to identify and evaluate assumptions and draw conclusions, ability to independently identify, resolve and raise issues, and provide concise executive level summaries that accurately reflect analyses
- Prior experience in complex integrations and divestitures
- Detail oriented and process discipline key in developing, supporting and tracking detailed project achievements and metrics in complex, matrixed environments
- Strong interpersonal skills and demonstrated team leadership / facilitation skills
- Experience with transaction execution and subsequent integration/ separation planning
- Proficient in Legal Entity planning, and has prior experience leading integration/ separation for a complex and global transaction setting
- Understanding of organizational functional requirements, operational process flows, and corresponding critical metrics
- Proficient in conducting due diligence inquiries
- Must be organized and able to lead and prioritize multiple integration/ separation projects
- Work well in a non-hierarchical, proactive environment
We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all our employees, and we strive to be more transparent with our pay practices. To that end, this position has a salary range of $176,000 to $264,000 and also includes an annual incentive bonus and equity target. The above range represents the expected salary range for this position. The actual salary may vary based upon several factors including, but not limited to, relevant skills/experience, time in role, business line, and geographic/office location.
