HOW YOU WILL SOAR:
As a member of the in-house Legal team at Millennium Trust Company a fast growing, innovative financial services organization, the Assistant General Counsel will provide legal support to the various business teams. The responsibilities of the position include but are not limited to: identifying and advising on a variety of legal, business, tax, regulatory, human resources/labor law and operational issues; drafting, maintaining, negotiating, and updating client/corporate contracts and templates; identifying new and proposed legislation and regulatory actions; supporting response to on threatened litigation and assisting pending litigation; responding to subpoenas, court orders, various state/federal agency requests, and other document productions; reviewing marketing and sales materials; providing oversight for corporate governance; and assisting with risk management, compliance, employee relations, audits, and vendor management. The ideal incumbent will provide legal advice in a wide variety of specialized areas of law, including but not limited to: ERISA, IRS regulations, IRS prohibited transactions, DOL regulations, SEC regulations, HIPAA, public and private securities, labor and employment, privacy, intellectual property, litigation, corporate governance and foreign laws affecting the firm's ability to serve our clients outside of the United States.
- Execute on creative legal solutions for new, complex, and innovative financial services products
- Proactively identify firm-wide risk, and identify applicable federal, state and foreign laws, rules and regulations affecting the firm's lines of business
- Manage and guide paralegal(s) and more junior attorney(s)
- Provide support and assistance to General Counsel and Deputy General Counsel in a variety of matters, as directed
- Identify new federal and state laws and regulations for applicability, risk, and impact to the business
- Support the execution of complex business transactions, including contracting and procurement, custodial agreements of various types, intellectual property, and governance
- Work effectively with internal staff at all levels, as well as external organizations in fast-paced drafting, reviewing, negotiating, and administration of complex business transactions
- Communicate proactively with clients, attorneys, and organizations to resolve discrepancies and disagreements
- Respond to subpoenas, court orders, audits, state/federal agency requests and various regulatory requests
- Support routine litigation and arbitration matters
- Work with and manage outside counsel on more complex litigation and arbitration matters
- Other duties as assigned
IF YOU HAVE SOME OR ALL OF THE FOLLOWING, APPLY:
- Bachelor's Degree in Business, Finance or related field
- Juris Doctorate Degree required
- 5-7 years of applicable experience
The ideal candidate will have a proven track record of demonstrating:
- Ability to work collaboratively and effectively at all levels of the organization
- Working knowledge of the financial services industry
- Excellent communication and presentation skills
- Strong time and case management skills; ability to shift quickly between substantive areas of law and the requirements of the different lines of business in a fast-paced environment
- Commitment to professionalism
- High level of integrity exercised internally and in representing the firm to outside parties
- Experience with HSAs and consumer directed benefits, automatic rollovers, custodial services, IRAs, and alternative investments preferred
- Familiarity with the regulatory regimes applicable to the firm's various lines of business
- Experience with litigation and arbitration
