Summary
The Corporate Counsel is responsible for negotiating and drafting a broad range of complex commercial contracts and management agreements. The Corporate Counsel will have a direct reporting relationship to the Chief Financial Officer.

Summary
The Corporate Counsel is responsible for negotiating and drafting a broad range of complex commercial contracts and management agreements. The Corporate Counsel will have a direct reporting relationship to the Chief Financial Officer.
Responsibilities
- Directly negotiating, drafting, and advising on commercial contracts and management agreements, with oversight from Chief Financial Officer
- Partnering with New Business team in responding to RFPs
- Drafting and advising on all types of commercial contracts, including but not limited to professional services agreements, vendor agreements, teaming agreements, subcontractor agreements, licensing agreements, and other commercial agreements
- Experience with governmental contracts (municipal, county, and state)
- Ensuring compliance with governmental contracting regulations
- Meeting compliance with Company policies, including overseeing contracting compliance for outside vendors
- Identifying and assessing legal risks and opportunities within areas of responsibility and educating clients and business partners accordingly
- Overseeing compliance with subpoenas and information requests
- Independently handling legal matters or projects
- Experience with IP licensing and compliance
- Recognizing when the advice of the Chief Financial Officer or outside counsel is appropriate
- Advocating the Company's interests in assigned matters
- Serving as an indispensable partner to the Executive Management Team
- Ensuring adherence to time-sensitive deadlines
- Invest time understanding what is important to individuals or groups (e.g., clients, colleagues, suppliers)
- Build rapport and use questioning and active listening skills to develop an understanding of issues
- Use influencing skills and well thought out arguments to develop consensus
- Adapt own interpersonal style to meet the needs of different individuals
- Contribute ideas and opinions in a confident, straight forward way
- Demonstrate confidence to tackle difficult issues
Requirements
- 5+ years of legal experience at a law firm or in-house position
- Strong technology and commercial contracting experience. Must have extensive experience drafting, negotiating, and reviewing a wide variety of commercial contracts and technology agreements, including software and technology licensing, master services, statements of work, supply and distribution, cloud technology, cloud hosting, data colocation, domain-name ownership, SaaS, XaaS, resellers, professional services, and nondisclosure agreements.
- A J.D. from an accredited law school, including an active bar membership
- Demonstrated superior collaboration and relationship building skills
- Outstanding critical reasoning and analytical skills
- A strong background in contracts
- Technology Savy
