General Counsel

AffiniPay is hiring its first ever in-house General Counsel to step in and make an immediate impact on the business.  Reporting to the CFO, this position will balance strategy with tactical execution while providing support across all business functions.  This position requires a mastery of a broad range of legal disciplines, contract negotiation, privacy and employment matters while working across functions and juggling multiple priorities.  This may also include advising senior management on the company strategies and their implementation, managing the entire legal function, and being directly involved in complex business transactions and negotiating critical contracts.   The General Counsel will also help define and build the internal Legal department. 

Your day to day:

• Responsible for setting global legal strategies and functional plans for the company
• Responsible for overseeing all legal matters pertaining to the organization, including patent, copyright, intellectual property and employment law matters and the coordination of any legal matters handled by outside counsel
• Responsible for overseeing matters related to regulatory risk and compliance, including any certifications and related audits
• Develop functional plans for managing legal matters, including activities to be performed in-house or through third-party relationships to best manage the company’s legal activities and minimize risk for the business
• Draft and negotiate complex agreements in support of the company’s business initiatives
• Manage legal, corporate governance and compliance-related IPO readiness efforts and develop appropriate systems to ensure ongoing compliance with SEC regulations
• Implement best practices and operating standards in the legal and compliance team
• Resolve legal-related disputes with third parties, managing outside litigation resources as necessary
• Ensure compliance with all applicable U.S.  laws and regulations through the development and implementation of compliance programs; manage risk management and advise the Executive team on risk management strategies to be implemented
•  Serve as key lawyer/legal advisor on commercial deals and major business transactions, including acquisitions, divestitures and joint ventures
• Aid in the building of a nimble, impactful Legal function; potentially manage future hires that will join this department
• Act as legal adviser and partner to the whole gamut of internal departments, including Engineering, Product Management, Business Development, Marketing and Communications, Finance, Operations and Compliance

What we are looking for:

• JD degree; with best-in-class legal training and client-side experience
• 10+ years of relevant, progressive experience
• Track record of strong business partnering and providing best-in-class legal support across spectrum of corporate / commercial legal issues
• Track record of working as trusted advisor to Exec Team & Board
• Experience in a Software-as- a-Service (SaaS), Fintech, or software company
• Track record deploying best in class practices & digital tools to improve performance, impact and efficiency of legal function
• In-house experience in preparing a technology company for an initial public offering
• Relevant experience within a public company highly-desired
• Exposure to and/or familiarity with the following areas of law: securities, antitrust, computer law and privacy
