The Opportunity

insitro is transforming the way drugs are discovered through industry-leading, innovative applications of data at scale and machine learning. Our success depends on our ability to build a strong legal foundation for the work that we are doing. As insitro’s General Counsel, you will report directly to our CEO, and will play a pivotal role in shaping insitro's legal strategy, with a critical role in corporate governance, business transactions, intellectual property, employment law, securities, and many more. You will also continue to build and lead our in-house legal team as well as oversee the activities of our outside counsel. Your role will include:

  • Provide advice and counsel to insitro’s leadership on a range of legal issues, trends and risks impacting the Company’s business.
  • Oversee and manage corporate governance, corporate secretary duties, and securities matters
  • Continue to build and lead a high-performing in-house legal team
  • Draft and negotiate a range of contracts including non-disclosure, speaker, vendor, consulting, research & development, academic research and/or other collaborations.
  • Support Business Development in major transactions such as partnership, licensing, or M&A, including conducting or providing due diligence support, participating in negotiations, and draft and reviewing agreements 
  • Oversee the management and development of Company’s global IP portfolio, including filing for new patents; prosecution; enforcement; docketing; or IP due diligence a range of strategic initiatives
  • Inform and interpret company policies and develop risk mitigation strategies and internal training relating to scientific research, FTO, data acquisition and sharing, cybersecurity, privacy protections, and ethical aspects of interaction with external entities
  • Review external materials, including press releases and publications, for appropriate disclosures and potential legal risks
  • Support the People team in employment law and related matters
  • Manage budgeting, selection (in partnership with internal customers) and effective oversight of outside counsel, as needed to handle intellectual property, litigation, large transactions, or other matters where specific expertise is required
  • Partner in building the larger insitro team, setting the culture, and building alignment with company values
About You
  • J.D. from a U.S. law school, admission to any State Bar with eligibility to register as in house counsel in California
  • 15+ years of experience practicing law in the biotech or life sciences sector with at least 3 years of in house experience
  • Experience with technology-driven biotech - having a strong focus on data or technology platforms - is a strong plus 
  • Considerable experience with public company governance, securities and corporate secretary responsibilities; prior experience taking a company public is a plus.
  • Demonstrated ability to work effectively and nimbly in a startup environment, with a clear willingness to work hard, engage on the substance, and execute with urgency
  • Strong business acumen with a pragmatic, fit-for-purpose stance and the ability to proactively and appropriately assess risks, recognize business consequences of legal advice, and effectively communicate legal issues to business partners
  • Strategic and innovative thinker who can develop and articulate a clear understanding of the organization’s strategy, break down complex problems, and identify creative and business-oriented solutions
  • Highest integrity, transparent, with a strong collaborative mindset

Compensation & Benefits at insitro
 
Our target starting salary for successful US-based applicants for this role is $345,000 - $390,000. To determine starting pay, we consider multiple job-related factors including a candidate’s skills, education and experience, market demand, business needs, and internal parity. We may also adjust this range in the future based on market data. 
 
This role is eligible for participation in our Annual Performance Bonus Plan (based on company targets by role level and annual company performance) and our Equity Incentive Plan, subject to the terms of those plans and associated policies.
