The role:Â
The Head of Galileo Legal, will lead the legal function at the company and will perform many and varied legal tasks related to a growing company in the financial sector.
What you’ll do:Â
- Advising senior management, business managers, business development personnel and other personnel on all aspects of commercial transactions, as well as various laws and regulations affecting the company’s business
- Negotiating and drafting contracts, including vendor agreements, licensing agreements, and master services agreements
- Coordinating all legal aspects of transactions, including counseling on deal structure, drafting letters of intent/term sheets, conducting or supervising due diligence, drafting and/or reviewing transaction documents and briefing senior management prior to final approval
- Managing various projects and deadlines
- Strengthening and maintaining the compliance function including conducting internal compliance reviews
- Advising senior management on contract status, legal risks and business terms of various deals
- Advising on joint ventures, strategic partnership deals, and mergers and acquisitions
- Researching unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes
- Keeping abreast of legislative changes that may affect the company and its affiliates
- Performing pre-litigation work to minimize risks and maximize legal rights, and anticipating and mitigating potential legal problems within the company and developing strategies to avoid costly litigation and reduce potential areas of risk
- Developing solutions to complex legal questions
- Providing training to the company and its affiliates on substantive legal topics
- Developing the company’s policies on industry-specific issues, corporate governance or regulatory affairs
- Other assignments on an ad hoc basis
What you’ll need:
- Graduation from an accredited law school; current registration in the Utah bar
- 10+ years experience in the practice of law after admittance to the bar
- Experience and expertise in one or more particular fields of legal specialization including anti-money laundering, debit card rules and regulations, prepaid card rules and regulations, credit card rules and regulations, consumer protection laws and regulation, and other payment related fields
- Knowledge concerning legal issues involving financial entities
- Ability to learn and gain expertise in new areas
- Ability to conduct accurate, high-quality legal research
- Ability to communicate effectively, both orally and in writing
- Ability to use good judgment and discretion
- Ability to maintain confidentiality
- Understanding of legal ethics
- Strong experience in structuring, negotiating and drafting complex contracts

- Business savvy and ability to partner with business teams to facilitate achievement of business objectives
- Ability to work effectively with and manage business personnel at all levels
