Job Description

We are looking for in-house General Counsel with expertise in data privacy and experience working with tech startups (ideally in a venture-backed SaaS company).

Our General Counsel role is a unique opportunity to work on the legal, technical, and business sides of the company. You will provide legal services such as drafting contracts, intellectual property filings, marketing compliance, and software agreements. You will drive the company’s privacy practices, including an extensive program that protects clients’ data. 

You will report directly to the CFO and will work closely with other departments. Expect to be part of sales calls and to work with the marketing team to create content about data privacy. You will help the company continue its business growth strategy. 

General Counsel. The General Counsel will set the strategic priorities for our legal operations; ensure that the company and its employees stay in compliance with applicable laws and regulations; advise and liaise with the executive team on strategic initiatives; and handle sensitive and important legal matters. 

  • Review and negotiate contracts with vendors, partners, and clients, including data processing agreements, software subscriptions, professional service agreements, and marketing agreements. 
  • Provide legal counsel to the management team, including drafting and revising corporate policies, bylaws, minutes, agendas, and resolutions.
  • Develop positive relationships with external legal professionals, customers, and partners to protect and advocate the company’s interests. 
  • Advise the HR team on federal and multi-state employment law.
  • Manage the organization’s intellectual property portfolio. 
  • Assist the CFO in capital fundraising activities. 
  • Manage entity maintenance and corporate governance for the company. 
  • Evolve the company’s legal technology solutions. 
  • Manage the department’s budget and spending. 

Data Privacy and Security. You will have an opportunity to advise teams across our business on a wide range of privacy matters. You will help scale our privacy program and participate in our information security functions. You will partner with product and service delivery teams to incorporate privacy considerations into the design of new products and features. You will also assist the company in navigating complex privacy frameworks as it expands into new territories and new product lines. 

  • Assist in the evolution and maintenance of our privacy program in accordance with applicable privacy laws and regulations, including HIPAA, the California Consumer Privacy Act, and the General Data Protection Regulation.
  • Collaborate with cross-functional teams, including marketing, product, IT, and human resources, to implement data protection and privacy best practices. 
  • Interact with clients and prospective clients on the company’s privacy practices. 
  • Provide guidance to product and engineering teams throughout the development lifecycle to minimize legal risks, respect client data privacy, and advance business goals. 
  • Drive awareness on privacy and security issues with the development of training and guidelines that address data protection and privacy issues. 
  • Create articles and videos about AI matters, data privacy, and business best practices. 

Contract Management. You will be responsible for preparing, negotiating, and reviewing company contracts, including sales, purchases, and business partnerships. This role will ensure that the company’s contracts comply with laws and serve the company’s interests. 

  • Draft, review, negotiate, and administer contracts and agreements. 
  • Maintain and update the contract templates. 
  • Draft and negotiate vendor contracts. 
  • Ensure that contracts are fully executed and in compliance with laws and regulations. 
  • Interpret contract requirements, manage contract performance, and ensure compliance with contractual terms. 
  • Organize the digital records of all contracts and related documents. 

Compliance. You will assist the CFO with the organization’s compliance function, ensuring all departments are in line with current laws and regulations. This role involves creating, implementing, and maintaining policies to avoid legal and ethical breaches. 

  • Evolve and monitor the company’s contracts compliance program. 
  • Monitor and stay up-to-date on legal and regulatory developments in data privacy, marketing, and Artificial Intelligence (AI) 
  • Support the development of training materials, guidance documents, and relevant employee and contractor training. 

Qualifications

  • JD degree from an accredited law school and bar membership in good standing. 
  • At least 3 years of experience as a corporate counsel or in a similar role in a technology company. 
  • Expertise in data privacy laws including HIPAA, GDPR, and CCPA. 
  • Experience in drafting and negotiating software agreements. 
  • Ability to support the CFO in executing the business growth strategies. 
  • Strong business acumen. 
  • Excellent negotiation and communication skills. 
  • Self-motivated, proactive, and adaptable to a fast-paced and dynamic environment. 
  • Ability to critically evaluate a wide range of issues and provide sound legal advice. 
  • Ability to anticipate, de-escalate, and resolve disagreements and complaints in a practical and constructive manner in order to achieve results. 
  • Effectively manages a high volume of work through various methods of organization, project and task management, and prioritization as needs evolve. 

Additional Information

  • Our ideal candidates will reside in the Greater Indianapolis area and be willing and able to work in a hybrid setting (Indy north side).
  • Candidates must be authorized to legally work in the USA without requiring employment visa sponsorship now or in the future.
