In-house Legal Counsel
Job Description
Job Overview:
FE International (“FE”) are seeking a proactive and experienced in-house Legal Counsel to manage all legal matters internally for FE and its subsidiaries and related entities.
The Legal Counsel will primarily be responsible to work with internal teams to draft and/or review relevant legal agreements related to clients (such as letter of intent or asset purchase agreements to assist clients), agreements with third party vendors and contractors, ensure IP/other relevant protection, HR related considerations, securities related documentation, client/vendor litigation and private equity fund related matter
The Legal Counsel will report directly to the CEO and will work closely with senior members of the team and external service providers (such as retained attorneys) on more specialized legal matters.
Top candidates will be team players with outstanding communication and people skills with a broad range of knowledge and experience within the M&A and private equity industries.
Responsibilities:
- Advising senior team members on all legal related issues and considerations;
- Reviewing or creating agreements, such as asset purchase, engagement agreements and vendor agreements;
- Maintaining knowledge of organization’s operations, entity documentation and legal documents;
- Overseeing new and ongoing litigation to protect FE’s reputation and financial interests;
- Working with internal teams to assist client’s in their legal needs related to M&A transactions;
- Preserving and maintaining all corporate records, insurance(s) and required federal and state documentation;
- Overseeing legal process related to potential future US securities regulations and documentation with limited partners/investors;
- Handling statutory filings, such as licensing forms; and
- Liaising with outside counsel regarding their specialist assignments.
Required Skills:
- Excellent verbal and written communication skills;
- Knowledge of broad range of US and international law regarding small business, M&A and private equity; and
- Understanding of small organizations and ability to work independently within.
Experience and Education:
- Juris Doctorate degree from accredited law school;
- 10+ years practice with an established law firm or relevant in-house counsel experience;
- Proficient legal experience in a wide range of contracts, human resources and M&A;
- FINRA Series 14 License required.
**Candidates must be authorized to work in the United States with no visa requirements**

Salary: $150,000-$200,000 OTE
