About the role:
This is an opportunity for a Junior Legal Counsel to join a globally distributed, fast-paced web3 start-up that encourages its staff to work with autonomy and responsibility. This position will give you exposure to a wide range of legal matters in a dynamic industry environment. The successful candidate will gain hands-on experience with exposure to SaaS-type contracts, ESOPs, potential M&A transactions, data privacy, and other general corporate and compliance matters.
Responsibilities:
Legal advisory work
- Drafting, reviewing, and negotiating commercial contracts.
- Developing and/or updating relevant templates, policies, and Terms & Conditions.
- Advising / liaising with various stakeholders, including but not limited to the Senior Leadership Team, Team Leads, and other personnel inside and outside of the company as required.
M&A
- Working with the senior legal counsel to provide effective Legal support on any potential business expansion opportunities, including liaising with external counsel if necessary.
Corporate and Administrative Matters
- Liaising with corporate secretariat and ensuring compliance with instructions / deadlines.
- Managing the organisation and classification of original / electronic legal documentation, contracts, etc. and maintaining the Company legal database in the cloud.
Compliance & Legal Function
- Drafting, reviewing and evaluating internal policies, legal documents as may be necessary.
- Implementing and reinforcing corporate governance and company compliance requirements.
- Organising and participating in necessary legal / compliance training for employees.
Candidate Profile:
- Degree in law (UK or Commonwealth law qualification preferred), with ideally at least 1 year of post-qualified experience in a law firm / in-house
- Experience / knowledge of cryptocurrency industry an advantage
- Good communication skills and good command of spoken and written English
- Problem solving and analytical skills; attention to detail
- Motivated and able to work independently, while respecting reporting procedures
- Possesses basic post-graduate knowledge of fundamental legal principles within area of coverage.
- Drafts core legal documents/summaries/emails succinctly, thoroughly and in plain language.
- Responds effectively to routine legal questions or issues.
- Identifies and analyses core legal issues within area of coverage.
- Stays on top of regulatory changes and case law.
- Researches points effectively.
- Be comfortable working both collaboratively and independently within a remote working environment.
