Lead Equity Compensation

The Equity Compensation Lead is a key member of the Total Rewards function and will have principal responsibility for managing the day-to-day administration of stock incentive plans for employee and non-employee equity programs, as well as monitoring and reporting on all areas of equity award administration. This role will work closely with key stakeholders in our Finance, Accounting, Legal and HR teams.
Essential Duties and Responsibilities:
- Administer all aspects of the global equity programs, including long-term incentive stock awards and employee stock purchase program.
- Assist Executive Rewards and Financial Benefits Leader in management of relationship with third-party equity administration vendors, continuously evaluating stock administration function for improvements in processes, implementing automated solutions and holding service providers accountable.
- Maintain equity award database (currently administered by Fidelity) and ensure that transactions are correctly processed in a timely manner.
- Ensure accurate and timely recording of new equity awards, stock option exercises, terminations, and award releases.
- Ensure accurate and timely tax withholding, tax reporting, and reporting to payroll.
- Oversee timely reconciliations of data on a monthly, quarterly, and yearly basis between Stock Administration, Finance, HR, payroll, transfer agent, etc.
- Analyze and make recommendations regarding the impact of current and pending regulatory, legislative, and reporting and disclosure requirements relative to equity compensation, partnering with internal and external expert resources as necessary.
- Work with internal and external auditors and Finance team for quarterly reviews, year-end audits, as well as ensure that appropriate internal controls are in place and procedures are followed to satisfy periodic review of compliance with SOX.
- Oversee handling of employee inquiries and requests regarding equity programs and equity transactions.
- Oversee creation of training and educational materials related to equity compensation for employees and cross-functional partners.
- Prepare reports for business partners and respond to ad-hoc data requests on a timely basis.
- At the direction of senior management and in collaboration with the Executive Rewards and Financial Benefits Leader, prepare equity-related reports and exhibits for use by the Compensation and Leadership Development Committee of the Board.
- Coordinate efforts to administer stock-based compensation awards and provide educational resources to employees in countries outside the US.
- Assist with preparation of the annual proxy statement and SEC filings such as Form 4 and Form S-8.
Requirements:
Education/Certifications: Bachelor's Degree in Finance, Accounting, Human Resources, Business Administration, or related field. Professional certification, such as Certified Public Accountant or Certified Equity Professional, is strongly preferred.
Experience: 8-12 years in stock plan administration, with experience at a public company. Experience administering global equity plans, including use of an equity administration system, particularly Fidelity PSW. Experience with Employee Stock Purchase Plans, 10b5-1 plans. Experience with granting and taxation of international equity. Experience with SOX 404.
Computer Skills: Strong computer skills required.
Communication Skills: Strong verbal and written communication skills.
Special Skills: Strong attention to detail, ability to work with highly confidential information for all team members in all levels of the organization, and superior customer service.
Supervisory: May lead 1-2 Team Members, formally or informally
Travel: 1-3 trips per year
Location: This is an onsite position at Tyson on Thompson in Springdale, AR
