Job Description:
Administers equity and other long-term incentive programs, including stock options, restricted stock units (RSUs), performance stock units, cash long-term incentive plan and Discover's IRC ยง423 employee stock purchase plan. Assists with Section 16 reporting, managing, and tracking insider trading policy compliance / preclearance and administration of Rule 10b5-1 plans. Other substantive areas of responsibility include dividend equivalent administration, Proxy Statement compensation tables and narratives, Board Director compensation tracking and communications, Director and Officer stock ownership policy compliance, equity and expense forecasting and vendor management (captive broker, transfer agent). Actively manages and escalates risk and customer-impacting issues within the day-to-day role to management.
Responsibilities
  • Administers equity transactions globally such as granting, exercise, sale, releases, retirements, terminations, expatriates, and international transfers.
  • Calculates and tracks dividend equivalents, retirement eligible FICA compliance and quarterly employee stock purchase plan offering periods.
  • Reviews and processes equity vesting and release with broker, online grant acceptance and employee communication, including coordinating accurate tax withholding and reporting.
  • Compiles equity related data for required SEC security filings.
  • Forecasts equity compensation and expense.
  • Suggests and leads process improvement initiatives and automation of processes.

Minimum Qualifications
At a minimum, here's what we need from you:
  • Bachelor's degree in business, Finance, Human Resources, Accounting, Law, or related field.
  • 6+ years of experience in Finance, Accounting, Stock/Equity, Compensation, Human Resources, or related field.
  • In lieu of a degree, 8+ years of experience in Finance, Accounting, Stock/Equity, Compensation, Human Resources, or related field.

Preferred Qualifications
If we had our say, we'd also look for:
  • 6+ years of experience in Finance, Accounting, Stock/Equity, Compensation, Human Resources, or related field.

Compensation:
The base pay for this position generally ranges between $74,000.00 to $124,800.00. Additional incentives may be provided as part of a market competitive total compensation package. Factors, such as but not limited to, geographical location, relevant experience, education, and skill level may impact the pay for this position.
