IFC Legal Department (CLED):

IFC Legal is an in-house legal department with approximately 70 lawyers, 45% of whom are currently based in IFC offices around the world, with the rest in IFC headquarters in Washington D.C. IFC lawyers are currently located in our offices in Bogota, Mexico City, Sao Paulo; Washington D.C.; London; Dubai, Istanbul, Vienna, Moscow, Tbilisi; Dakar, Johannesburg, Nairobi; Beijing, Delhi, Hong Kong, Mumbai and Singapore. The lawyers provide services in the offices in which they are based and to the more than 100 offices that IFC has worldwide. IFC Legal has a dual transactional and advisory role. Our lawyers structure, negotiate, document, close and disburse new transactions, supervise IFC's investment portfolio, and, when necessary, restructure transactions and enforce IFC's rights. IFC Legal also provides legal and policy advice to IFC's board, management and client departments. We partner with our client departments in the delivery of IFC's program, and the development of new products, policies and model documents.

Duties and Responsibilities:

Legal Analyst:

We are seeking an experienced legal analyst to support CLED's legal work in the Infrastructure (covering Power, Water, Transportation, Energy and Mining), Manufacturing, Agribusiness, Services and Financial Markets sectors (the "Industries"). This position will be based in IFC HQ (Washington DC), and will report to the Assistant General Counsel, Industries, and work closely with relevant Global Leads and other project lawyers in the Legal Department as needed. Some of the key responsibilities include:

• Providing transaction-related legal support to internal clients under the direction of CLED project lawyers on new business, in the form of preparing, reviewing and negotiating confidentiality agreements, expressions of interest or LOIs, mandates, independent consultancy agreements, term sheets, loan agreements, subscription agreements, conditions to closing, and other related investment documentation.

• Providing support to CLED project lawyers and assisting with routine portfolio work in the form of waivers, amendments, consents and less complex reschedulings.

• Under the direction of CLED project lawyers, preparing requests for proposals and terms of reference for transaction and local counsel selection, reviewing and assessing proposals from law firms and finalizing counsel retainers.

• Assisting CLED project lawyers in reviewing draft documents and identifying issues and inconsistencies.

• Generally providing legal support to internal clients under the direction of CLED project lawyers and researching questions arising under IFC's policies and procedures in connection with IFC's investments.

• Providing legal support related to policies and procedures applicable to the transactions in the Industries and any new products or initiatives to be developed.

• Liaising with external counsel on transactional matters.

• Assisting in responding to ad hoc questions from the business operational teams arising in the context of transactions.

• Providing such other legal support on matters related to the transactions and the managing of external law firms as needed.

Other Responsibilities:

Support Knowledge Management:

• Provide legal support for the management of all CLED specimens, forms, templates and other guidance materials, including implementing updates and changes as needed, that are widely used in Industries investments, as a member of the CLED Specimen Committee.

• Provide legal drafting internal guidance (knowledge management) to assist CLED staff and the business operational teams regarding legal aspects of related products, including the development of written knowledge management/guidance documents and population of webpages for special products as needed and creating and organizing KM tools.

General Legal Support:

• Assist with administrative coordination within CLED and other departments within IFC as needed to respond to specific inquiries, requests and initiatives.

• Provide legal support on matters related to general IFC investment operations (new business and portfolio) as needed.

• Perform any other ancillary and associated tasks, including administrative tasks, as may be required.

Selection Criteria

• Education: B.A./B.S. degree or other relevant professional certification.

• Minimum of 5 years of professional experience with a reputable law firm or financial institution, including substantial experience in drafting and reviewing legal documentation, and coordinating or managing projects and innovative initiatives in the area of cross border emerging markets lending, preferably in the Industries.

• Ability to apply good legal judgment in the context of assignments and to present results/recommendations clearly and concisely.

• Excellent interpersonal skills, with a passionate, positive attitude.

• Excellent communications skills in English, ability to present both written and oral ideas clearly, concisely, and persuasively.

• Excellent legal research skills with significant experience in the use of varied legal research sources.

• Excellent problem solving and analytical skills, and attention to detail, and the willingness to assume multiple roles and tasks to meet changing business needs.

• Excellent process and project management skills, with the ability to work independently, seeking guidance on complex issues from senior staff.

• Ability to work well as a team member in a multi-cultural and multi-ethnic international organization environment.

• Ability to work under time pressure and to juggle multiple tasks within tight deadlines.

• Fully proficient in computer skills, particularly in using word processing software, information databases, intranet and internet services and resources.
