PRIMARY PURPOSE:
It is the primary responsibility of the Legal Counsel to perform, at the direction of a designated Legal Counsel and other senior department attorneys (as applicable), professional legal work related to assigned matters for MGM Resorts International and subsidiary organizations.
PRINCIPAL DUTIES AND RESPONSIBILITIES:
- Supports M&A activity, including drafting and negotiating confidentiality agreements, coordinating due diligence efforts, and assisting in drafting and negotiating purchase and sale agreements and joint venture agreements.
- Drafts, negotiates and reviews a variety of domestic and international agreements relating to the Company's development efforts, including consulting agreements, technical services agreements and management agreements.
- Assist on securities filings and provides support on corporate governance matters, including with respect to the annual meeting of stockholders.
- Provide sound, well-reasoned legal advice to the Company's various groups.
- Develops and maintains strong business relationships among the various internal business groups requiring legal support.
- Demonstrate leadership and team-working skills in support of a collaborative environment.
- Supervise paralegals and staff on work assignments.
- Exercises discretion and independent judgment commensurate with specialized legal skills and experience.
SUPERVISION:
- Executive Assistant (on a project basis).
- Paralegal (on a project basis).
MINIMUM REQUIREMENTS:
- Juris Doctor Degree.
PREFERRED:
- International transactions and business experience.
- Experience in supervising and coordinating outside counsel and other advisors both nationally and internationally.
- 5+ years of M&A/Corporate experience from a top law firm.
- Experience with public corporations and corporate governance.
- Willingness to travel domestically and internationally.
- Previous experience working in a resort setting.
CERTIFICATIONS, LICENSES, REGISTRATIONS:
- Licensed to practice Law in Nevada or in another U.S. State.
KNOWLEDGE, SKILLS, AND ABILITIES:
- Excellent communication skills (verbal and written).
- Substantive knowledge and understanding of legal strategies and principles; ability to analyze and apply legal principles and precedents to legal issues; ability to perform legal research, evaluate alternatives and make sound recommendations.
- Excellent research and writing skills; ability to prepare clear, concise and complete legal documents, reports, correspondence and other communications materials on complex legal issues; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations.
- Candidates may be required to provide a writing sample.
- Ability to exercise initiative and independent judgment.
- Ability to deal effectively with all business contacts, including government agencies, and to establish and maintain effective working relationships with co-workers, internal clients, and external business partners.
- Sound judgment and superior decision-making, multi-tasking and problem-solving skills; ability to meet prescribed deadlines.
- Basic proficiency in MS Word, Excel, PowerPoint and MS Outlook.
- Self-motivated and self-directed and able to work without direct supervision on assigned projects and tasks.
