Job Description
Geode Capital Management, LLC (“GCM”) is a global institutional asset manager providing core beta exposures across a range of equity and niche asset classes, including commodities and options for registered funds and separately managed accounts. Geode Capital Management Trust Company, LLC (the “Trust Company” and collectively with GCM, “Geode”) manages and administers commingled pools (or collective investment trusts) for qualified plan investors subject to ERISA (“CITs” or “Pools”). Geode currently manages over $900 billion in AUM across the products it advises and sub-advises.
The Legal Counsel will provide investment management, corporate, securities and regulatory legal advice for Geode, with a particular focus on supporting the Trust Company and the CITs it manages. The position provides a unique opportunity to join a small legal team in a rapidly growing business, reporting directly to the General Counsel. This attorney will also have direct engagement with other members of the senior management team, and work in a collaborative manner across the firm to achieve business goals.
Primary Responsibilities:
- Support Pools managed by the Trust Company, including preparation and review of legal agreements, disclosures and marketing material
- Review of client onboarding materials for qualified plans participating in the Pools
- Advise regarding the Trust Company's compliance with New Hampshire banking/trust company law, ERISA and other regulatory requirements
- Provide comprehensive support on ordinary course biennial regulatory examinations
- Advise on corporate governance for Trust Company and its committees, including regular attendance at committee meetings and production of minutes
- Draft, review and negotiate investment management agreements, participation agreements, service agreements, fee agreements and fund documentation
- Legal-related activities supporting the continued growth of the Trust Company business, including documentation relating to the launch of new Pools
- Review offering documentation, subscription agreements and certifications regarding participation in corporate actions and private transactions by the Pools and funds managed by Geode
- Draft and negotiate vendor agreements, technology license agreements, confidentiality agreements and trading documentation
Position Requirements:
- JD degree and MA bar registration
- 3-7 years of experience with a particular emphasis on investment management, corporate and regulatory law at a leading law firm and/or in a legal department at an investment management firm (prior in-house experience is not required)
- Prior experience with CITs and trust companies is a significant plus
- Solid understanding of common contractual provisions and sharp negotiation skills
- Comfortable familiarity with securities laws and/or banking regulations
- Knowledge of ERISA would be a significant plus
- Excellent written and verbal communication and organizational skills
- Strong willingness to learn and grow with the job

- Ability to juggle multiple projects and prioritize appropriately
- Ability to operate independently, but also seek and accept direction as appropriate
- Keen sense for spotting issues and navigating to sound resolutions
