Legal Counsel
Job Description

The incumbent provides legal advice to management and works with outside counsel. Upon request and direction from the General Counsel, manages litigation and performs administrative and other tasks related to those functions.

Essential Duties and Responsibilities
- With advice from the General Counsel and outside law firms, reviews and negotiate contracts and other legal documents to ensure that contract and other documents meet business objectives and appropriately address legal issues.
- Provides legal advice on operational issues such as powers of attorney, UCC issues, etc.
- Outsource legal questions and contracts to outside counsel when in-house resources are insufficient.
- Assembles facts and communicates with other associates to gather information and advice from the General Counsel, when appropriate.
- Keeps contract logs and performs related administrative tasks.
- Handles miscellaneous legal matters as assigned by the General Counsel.
- May be responsible for managing litigation involving the company by working with bank associates and outside law firms.
- Performs all other duties as assigned
Supervisory Responsibilities
Directly responsible for directing, coordinating, and evaluating designated units or certain personnel in accordance with the organization's policies and applicable laws. Responsibilities may include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; providing pay change recommendations; disciplining employees; addressing complaints and resolving problems.
Qualifications
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Additionally, the qualifications listed below are representative of the knowledge, skills, and/or abilities required in this position:
Graduate degree (Juris Doctorate) and at least 7 years of experience or equivalent combination of education and experience
Computer and Office Equipment Skills
Microsoft Office suite
