A Brief Overview
The Analyst, Legal Counsel will provide general legal advice to company personnel related to operations and activities and assist in the development of policies and procedures to manage legal risk within the company. The Analyst will be responsible for negotiating vendor agreements, implementing eDiscovery practices, and advising on a variety of banking law and regulatory matters.
What you will do

  • Provide general legal advice to company personnel and determine when to involve outside counsel
  • Assist with banking law and regulatory matters
  • Conduct legal research as needed
  • Review and negotiate vendor agreements
  • Draft and review internal standard template agreements
  • Provide training for personnel on legal matters
  • Assist with Contract Lifecycle Management efforts
  • Assist in the termination and modification of vendor relationships
  • Advise the Bank on contract disputes and negotiate favorable resolutions
  • Collaborate with other internal departments such as information security, compliance, vendor management, and project management
  • Assist in overseeing the subpoena response process, manage complex document review, and perform necessary redactions
  • Assist with compliance with Court Orders where necessary
  • Assist the preservation of attorney-client privilege between FirstBank, internal counsel, and outside counsel
  • Maintain and periodically review customer account agreements
  • Assist in coordination of intellectual property matters, including trademarks, patent infringement, etc.
  • Monitor outstanding/pending litigation involving the company
  • Assist Compliance and Audit departments on Violations of Law (VOL) determinations
  • Perform other projects and duties as assigned
  • Understand and comply with all provisions of the Safety in the Workplace policy


Minimum Requirements

  • Requires a Juris Doctor from an accredited law school and license to practice law in Colorado
  • Minimum of three years of experience working in a private practice or as in-house counsel


Preferred Requirements

  • Experience working with regulated financial institutions
  • Familiarity with software agreements
  • Experience working with the Federal Reserve, OCC, and/or FDIC
  • Commercial Litigation experience
  • Intellectual property and privacy law experience
  • Bankruptcy law experience


Knowledge, Skills, and Abilities

  • Knowledge of Colorado banking laws
  • General knowledge of the Uniform Commercial Code and Uniform Consumer Credit Code
  • General knowledge of Bank Holding Company Act, Dodd-Frank Act, Fair Credit Reporting & FACT
  • Excellent verbal and written communications skills


Working Conditions and Physical Requirements

  • Frequently remains stationary throughout a typical business day
  • Frequently operates a computer and other office machinery, such as a calculator, copy machine, and computer printer
  • Occasionally moves about inside the office to access file cabinets, office machinery, and other rooms
  • Occasionally positions self to access drawers and shelves of various heights
  • Frequently reaches for and handles paperwork and files
  • Constantly communicates with customers, coworkers, and management in-person and on the phone
  • Must be able to exchange accurate information


Salary Range
$100,000.00 To $150,000.00
