The Position
An opportunity has arisen within the Funds Team in Legal at Barings for a new team member supporting primarily US-based capital raising activities. The successful candidate will provide legal assistance on fund structuring and design, set-up and launch, maintenance, distribution, and regulatory projects primarily in the US, but will frequently work with other teams across Barings' global platform including London and Asia. The position will be part of a US based team of attorneys that ultimately report to the Head of Legal Funds Team in London.
The Team
The Global Legal mission is to provide legal support and advice with the goal of managing and mitigating legal risk for the Company and acting as a partner to our internal business clients supporting any legal needs that arise on a day to day basis.
Primary Responsibilities
- As part of the Legal Funds Team, support Sales, Client Portfolio Management, Product Management, and the various Asset Teams with their fund and other investment products and capital raising activities by managing their legal risk, facilitating client transactions and investor subscriptions, and advising on regulatory change.
- Provide internal legal advice for new and existing Barings investment funds including a variety of closed and open ended fund structures (limited partnerships, LLCs, and other vehicles formed both in the US and various international jurisdictions including the Cayman Islands), feeder funds and other related entities) , GP / carry vehicles, and fund of ones and managed accounts, including advice with respect to their design, structuring, development, launch, marketing, maintenance, and regulatory considerations.
- Provide legal support for capital raising activities across public and private fixed income, real estate, and equity asset classes including private credit, real estate debt and equity, private equity and real assets, funds and co-investments, high yield, emerging markets, and equities.
- Act as a trusted advisor to internal Barings teams in assessing and identifying general corporate, tax, risk, regulatory, legal, and compliance issues and retain and interface with external law firms in order to render appropriate legal advice regarding the same.
- Work closely with and as part of a dynamic global legal department with teams based in Charlotte, London, and Hong Kong to deliver a high quality global service to the business.
- Work with external counsel and internal Barings teams on drafting and negotiating fund documentation including investor negotiations and distribution and marketing activities.
- Provide regulatory guidance for funds and products and coordinate registrations and regulatory filings.
- Build relationships and work closely alongside internal business teams including Client Portfolio Management, Product Management, Sales and Distribution, Operations, Compliance, Finance, Human Resources, and Risk functions and other members of the global Legal Team.
- Assist with lifecycle of all funds and other investment products, including interacting with fund boards, incorporating regulatory updates, managing formation, maintenance and wind-up/dissolution.
Qualifications
- Ideally, 3-7 years of experience as an attorney gained in the funds/ investment management department of a leading law firm or in-house position in an asset manager or financial institution.
- Understanding of and experience working with a variety of fund structures and relevant regulation including the Investment Advisers Act and Investment Company Act. Knowledge of AIFMD, cross border structures, and foreign marketing rules and regulations, a bonus.
- Experience in reviewing and drafting funds documentation including PPMs/Offering Memorandums, limited partnership agreements, side letters, investment management agreements, subscription documents, and placement agent and distribution agreements.
- Highly motivated self-starter, able to work independently but as a team player with a collaborative approach within the Legal function as well as the Business.
- Technically competent, strong attention to detail, high level of organization and collegiate working attitude are essential.
- Strong interpersonal and communication skills and ability to develop and maintain effective relationships with various stakeholders at all levels of the organization and external professional contacts.
- Willingness to go beyond existing areas of expertise and work in new areas of law relevant to the Business.
- Commercial, hardworking approach with the ability to work to tight deadlines and prioritize work according to urgency and importance.
