About the Division

Morgan Stanley's Legal and Compliance Division is seeking to hire a lawyer in Hong Kong to provide legal coverage for Morgan Stanley Investment Management's (MSIM) Private Investing businesses in Asia Pacific in coordination with Morgan Stanley colleagues in the U.S. and Europe. These businesses include private equity, infrastructure and real estate.

About the Role

Primary responsibilities will include advising investment professionals and directing outside counsel in connection with investment activities and fund structuring as well as compliance requirements arising from various regulatory and internal policy obligations.

Key Responsibilities

• Supporting Morgan Stanley's private investing activities in all Asia Pacific jurisdictions, in particular Hong Kong, Korea, China, Singapore, Australia, India and Thailand.
• Interacting regularly with senior management in the business, Risk Officers, Compliance, Tax, Finance and other stakeholders to manage legal risk and protect the Firm's reputation.
• Providing coverage for legal aspects of fund structuring, fund formation and fund governance for complex private fund structures.
• Advising on and negotiating documentation in respect of transactions (fund raising, acquisitions, divestments) relating to private investing activities in the Asia Pacific region.
• Instructing external counsels across the Asia Pacific region.
• Advising the private investment product distribution teams, including with respect to conduct of sales and marketing practices.
• Advising on changes in law, new regulatory initiatives and changing market practices for private funds and related investments.
• Advising on the development and execution of internal policies and procedures

Qualifications, Skills & Requirements

• Lawyer with 5+ years post-qualification experience with private equity and/ or general merger & acquisition experience.
• Solid drafting and negotiation skills.
• A personable and confident disposition, with the ability to identify and resolve disputes in a fast-paced corporate environment while adhering to Firm policies and practices.
• Excellent oral and written communication skills in English essential, fluency in written and spoken Mandarin Chinese is advantageous.
• Team player with solid analytical and presentation skills.
• Title and remuneration will be commensurate with the successful candidate's experience and qualifications.
