As a Legal Manager you'll assist the chief legal officer with corporate legal and public company matters including preparation, review, tracking and reporting related to legal entities, corporate governance and internal affairs to ensure the company remains in compliance with all laws and regulations. Please note that this position is in scope to transition to the brokered transportation services company that will be created with the planned separation of XPO's North American Transportation business from its less-than-truckload (LTL) business. Tasks include:
  • Corporate entity management of domestic and foreign subsidiaries, including formations, terminations, drafting resolutions, D&O and stock management, performing assistant secretary functions; registered agent management; notarizations, apostilles and legalizations of documents for foreign entities; maintaining legal entity database
  • Support with public company corporate governance such as new D&O onboarding, obtaining Edgar codes, filing Forms 3 and 4; drafting and distributing board and committee materials and minutes; organization and maintenance of public company files
  • Support with drafting and filing of Forms 8-K, 10-Q and 10-K.
  • Support with annual stockholders meeting, including drafting, filing and printing the proxy statement; communications with DTC, NYSE, transfer agent, printer; meeting logistics (venue, documentation, security)
  • Day-to-day Legal Tracker/Serengeti system administration
  • Manage legal department org charts, contact lists, subscriptions; assist with department projects
  • Assist with M&A and financing transactions and other special projects

What you need to succeed at XPO:

At a minimum, you'll need:
  • Bachelor's degree or equivalent related work or military experience
  • 4 years of corporate legal experience, either at a law firm or in-house legal department
  • Proficiency in Microsoft Office
  • Legal Tracker/Serengeti administrator experience

It'd be great if you also have:
  • Paralegal degree or certification
  • Notary Public license
  • Experience with legal entity databases
  • Solid problem-solving and organizational skills; capacity to quickly master new concepts, ideas, and practices
  • Strong documentation and editing skills
  • Experience with logistics and transportation business
