This is a work from home position based in Orlando. The specialist will need to come into the corporate office on occasion for board meetings and projects.

The Legal, Specialist - Corporate & Securities is responsible for assisting in all corporate record-keeping functions for all subsidiaries of a dynamic public company, including mergers, dissolutions, incorporations, resolutions, and annual reports, while maintaining a database of information related to such subsidiaries. In addition, the position will be required to provide assistance with certain of the public company's day-to-day corporate governance and compliance activities, such as coordinating meetings of the Board of Directors and assisting with SEC and NYSE compliance projects. This position will require interaction with senior executives, outside counsel and business unit personnel.

The Legal, Specialist - Corporate & Securities reports to the Director, Legal - Corporate Governance.

Responsibilities will include but are not limited to the following:
  • Subsidiary Governance - Assist in day-to-day operations for all subsidiaries including planning, coordination and production of Board and Committee meetings and other activities, record-keeping, drafting resolutions, written consents and minutes. Assist and coordinate all other aspects of Board operations for all subsidiaries. Respond to daily ad hoc assignments and troubleshoot issues from Director, Assistant Corporate Secretary and Business Unit personnel. Maintain data in computer tracking systems. Assist in coordination with International Corporate Secretary functions.
  • Treasury and Business Operations - Assist in preparation of legal ground work for Company's senior debt program and Sierra asset-back securities (ABS) transactions (three transactions per year). Prepare and respond to Know Your Customer (KYC) requests. Assist in preparation of day-to-day legal compliance with banking and treasury regulations.
  • SEC and Board Matters - Assist in preparation of SEC and corporate compliance matters, including NYSE compliance, transfer agent matters, insider trading compliance, Disclosure Committee, proxy statement and annual meeting matters. Assist the Director and Assistant Corporate Secretary in coordination and preparation of materials for board of directors and committee meetings.


Minimum Requirements and Qualifications

Education
  • Undergraduate degree or Paralegal certificate required


Training requirements
  • Paralegal certificate preferred.


Knowledge and skills
  • Exceptional interpersonal, facilitative, analytical and organizational skills. Ability to work with all levels of management and the Board of Directors.


Technical Skills
  • Experience with Boardvantage and Corporate Secretary software preferred.


Job experience
  • Minimum of 5 years corporate legal experience.


Experience equivalent to the education requirement may be accepted in lieu of the education requirement.
